No Knowledge of Seller's Breach. Buyer has no knowledge of any breach by Seller of any representation or warranty of Seller or of any other condition or circumstance that would excuse Buyer from its timely performance of its obligations hereunder. Buyer shall notify promptly Seller if any such information comes to Buyer's attention prior to the Closing.
No Knowledge of Seller's Breach. Neither Buyer nor any of its Affiliates or Representatives has actual knowledge of any breach of any representation or warranty by Seller or of any other condition or circumstance that would excuse Buyer from its timely performance of its obligations hereunder. Buyer shall notify Seller as promptly as practicable if any such information comes to its attention prior to Closing.
No Knowledge of Seller's Breach. On the date hereof, Buyer has no actual knowledge, without duty of inquiry, of any breach by Seller of any representation or warranty made by Seller in this Agreement or in any form of Additional Agreement attached hereto as an Exhibit that would excuse Buyer from the timely performance of its obligations hereunder or under the Additional Agreements.

Buyers have no Knowledge of any breach by Sellers of any representation or warranty contained in Section 3, Section 4 or Section 5, or of any condition or circumstance that would excuse Buyers from performance of their obligations under this Agreement or the Employee Transfer Agreement.

Neither Buyer nor, to the best knowledge of Buyer, any of its Affiliates, has knowledge of any breach of any representation or warranty by MagneTek or of any other condition or circumstance that would excuse Buyer from its timely performance of its obligations hereunder. If any information relevant to the representations and warranties of MagneTek under this Agreement shall come to Buyer's attention before the Closing Date (whether through Sellers or otherwise), then for the purposes of MagneTek's liability under such representations and warranties the effect shall be as if the representations and warranties were so modified in this Agreement, and no claim for indemnification may be made under Article X hereof to the extent such claim would not arise under such modified representation or warranty.

Except for breaches of which Buyer informs Seller in accordance with Section 9.04(e) and except for breaches of which Buyer is informed by Seller in accordance with Section 6.02(a)(ii), Buyer does not have Knowledge of any breach by Seller of any of the representations and warranties herein.

Except as set forth in the Sellers Disclosure Letter and the Companies Disclosure Letter, none of Parent, Purchaser nor any of their respective Affiliates has Knowledge of any breach or inaccuracy, or of any facts or circumstances which may constitute or give rise to a breach or inaccuracy, of any representation or warranty of Sellers set forth in Articles II or III.

Except as set forth on Schedule 6.10, neither Texas Genco nor any of its Affiliates or representatives has Knowledge of any breach of any representation or warranty by Seller or of any other condition or circumstance that would excuse Texas Genco from its timely performance of its obligations hereunder.
