No Liability of the State. The State shall have no liability to RAC (except as expressly provided in this Agreement), or any permitted sub-concessionaire or occupant of the Premises or any portion thereof, or any of their respective members, employees, agents, partners, shareholders, officers, directors, contractors, licensees, or invitees, or other persons whom RAC has permitted entry or with whom RAC has entered into a contract or understanding (oral or written) to use or occupy the Premises, as a result of Hazardous Substances now or hereafter located on the Premises; provided, the State shall be required to Respond to any State Response Actions to the extent provided under Article XXII.F.2.b. (RAC not responsible) hereof.

No Liability of the State. The State shall have no liability to Concessionaire (except as expressly provided in this Agreement), or any permitted sub-concessionaire or occupant of the Premises or any portion thereof, or any of their respective members, employees, agents, partners, shareholders, officers, directors, contractors, licensees, or invitees, or other persons whom Concessionaire has permitted entry or with whom Concessionaire has entered into a contract or understanding (oral or written) to use or occupy the Premises, as a result of Hazardous Substances now or hereafter located on the Premises; provided, the State shall be required to Respond to any State Response Actions to the extent provided under Article XXIIF.2 hereof.
No Liability of the State. 4.6.1 Despite the stated in or implied from any other provision herein or anywhere else in the Contract Documents, it is hereby clarified that any action (including finance, responsibility of making certain payments, designing and planning, constructing, operating, etc.) required to be taken in connection with the Project, shall be the sole responsibility of the Concessionaire, whether the requirement for such action or the Concessionaire’s responsibility is stated explicitly, is implied or is not stated at all. The foregoing shall not apply solely where it is explicitly stated, in a way that can not be misinterpreted, that it is the State’s responsibility to take certain action; then, such action only shall be considered the responsibility of the State and any other subsequent or related actions (such as financing) shall remain the sole responsibility of the Concessionaire.

  • No Liability Bank shall not be responsible or liable for any shortage or discrepancy in, damage to, or loss or destruction of, any goods, the sale or other disposition of which gives rise to an Account, or for any error, act, omission, or delay of any kind occurring in the settlement, failure to settle, collection or failure to collect any Account, or for settling any Account in good faith for less than the full amount thereof, nor shall Bank be deemed to be responsible for any of Borrower’s obligations under any contract or agreement giving rise to an Account. Nothing herein shall, however, relieve Bank from liability for its own gross negligence or willful misconduct.

  • No Liability of County’s Personnel All covenants, stipulations, promises, agreements and obligations of the County contained herein shall be deemed to be covenants, stipulations, promises, agreements and obligations of the County and shall be binding upon any member of the County Council or any elected official, officer, agent, servant or employee of the County only in his or her official capacity and not in his or her individual capacity, and no recourse shall be had for the payment of any moneys hereunder against any member of the governing body of the County or any elected official, officer, agent, servants or employee of the County and no recourse shall be had against any member of the County Council or any elected official, officer, agent, servant or employee of the County for the performance of any of the covenants and agreements of the County herein contained or for any claims based thereon except solely in their official capacity.

  • NO LIABILITY UPON TERMINATION If this Agreement is terminated for any reason, TFC and the State of Texas shall not be liable to PSP for any damages, claims, losses, or any other amounts arising from or related to any such termination absent an award of damages pursuant to Texas Government Code, Chapter 2260.

  • No Liability for Interest Unless otherwise agreed with the Company, the Warrant Agent shall have no liability for interest on any monies at any time received by it pursuant to any of the provisions of this Agreement or of the Warrant Certificates.
