No Liens or Claims Filed. Subcontractor will not directly or indirectly file, record, claim, assert, or create or suffer to be created any lien on or affecting the Project or the Project Site, except to the extent of TRC’s unexcused failure to pay any portion of the Subcontract Price if and when due under the terms of this Subcontract to Subcontractor for the Subcontract Work performed by Subcontractor or LTEs (“Permissible Liens”). Except for Permissible Liens, Subcontractor must immediately discharge, vacate, release and remove of record any and all liens on or affecting the Project or Project Site by agreement with the claimant or by posting sufficient security or bond to substitute for the lien. Upon the failure of Subcontractor to comply with the requirements of the preceding sentence, TRC will have the right to cause the release of such claim, lien, or attachment by payment or otherwise and upon such payment, discharge or posting of security therefor, TRC will be entitled to immediately recover from Subcontractor all costs and expenses incurred by TRC, including attorneys’ fees, court costs, and all other expenses, in connection with such payment, discharge or posting, or set off of all such amounts against any sums owed by TRC to Subcontractor. By acceptance of payment, Subcontractor represents and warrants that Subcontractor has paid in full (or will pay in full via proceeds from such pay application) for all labor, services, and materials and all LTEs engaged by Subcontractor in connection with this Subcontract.

If Tenant shall fail to discharge such mechanic's lien or other lien or to bond over the same within such period, then Landlord may, but shall not be obligated to, discharge the same by paying to the claimant the amount claimed to be due or by procuring the discharge of such lien as to the Premises by deposit of a cash sum or a bond or other security, or in such other manner as is now or may in the future be provided by present or future law for the discharge of such lien as a lien against the Premises. Any amount paid by Landlord, or the value of any deposit so made by Landlord, together with all costs, fees and expenses in connection therewith (including reasonable attorneys' fees), together with interest thereon at the Maximum Rate of Interest, shall be repaid by Tenant to Landlord within thirty (30) days after demand therefor. Tenant shall indemnify, defend and hold harmless Landlord and the Premises from all losses, costs, damages, expenses, liabilities, suits, penalties, claims, demands and obligations, including, without limitation, reasonable attorneys' fees, resulting from the assertion, filing, foreclosure or other legal proceedings with respect to any such mechanic's lien or other lien.

  • Adverse Claims Borrower will promptly advise Lender in writing of any litigation, Liens or claims affecting the Mortgaged Property and of all complaints and charges made by any Governmental Authority that may delay or adversely affect the Repairs or Capital Replacements.
