No Litigation or Claims. There is no arbitration, litigation, proceeding, or claim of any kind with respect to the Shows, the Characters or Madison threatened, pending or being prosecuted in any court or before any department, commission, board, bureau, agency, or other governmental instrumentality and, to the best of Madison's knowledge, no such action, suit, arbitration, litigation, proceeding, or claim is threatened or being asserted.

No Litigation or Claims. Seller is not subject to and has no Knowledge of any threatened actions, suits, proceedings or claims affecting the Acquired Assets. With respect to the Acquired Assets, Seller has not been charged with, or, to Seller’s Knowledge, is not being investigated with respect to any Law, and no judgment, order, writ, injunction, decree (including, without limitation, a consent decree) or other similar command of any court or federal, state, municipal or other governmental department, commission, board, bureau, agency or instrumentality which is presently in effect has been entered against or served upon Seller or affects materially and adversely the Acquired Assets.
No Litigation or Claims. Neither it nor any of its Affiliates has any claim, action, suit, complaint, charge, litigation, arbitration, prosecution, hearing or other proceeding of any nature, in Law or in equity, or other proceeding pending or threatened before or by any court or other Governmental Entity against the Company, any of its Subsidiaries or any of their respective Affiliates or any of their respective directors or employee, including, without limitation, pursuant to that certain Loan, Convertible Preferred Stock and Convertible Senior Secured Note Purchase Agreement between the Company and Xenith dated as of May 9, 2018, and, to its Knowledge, no event has occurred or circumstances exist that would reasonably be expected to give rise to, or serve as a basis for, any of the foregoing.
No Litigation or Claims. (a) There is no action, suit, or claim pending or threatened against Miranda III. Neither Seller nor the Purchased Assets are subject to any outstanding judgment, order, writ or injunction of any court, governmental, administrative or regulatory authority or arbitral body.
(b) Seller has no knowledge of (i) any claims pending or threatened against Seller, Miranda I, the Miranda I Assets, or the Purchased Assets or (ii) any past or present events, conditions, circumstances, activities, practices, incidents or actions which could form the basis of any claim against Seller, Miranda I, the Miranda I Assets, or the Purchased Assets.
No Litigation or Claims. (a) There is no action, suit or claims pending or threatened against Vista Continental Corporation other than those disclosed on Schedule 4.4. The Purchaser is not subject to any outstanding judgment, order, writ or injunction of any court, governmental, administrative or regulatory authority or arbitral body.
(b) Purchaser has no knowledge of (i) any claims pending or threatened against Purchaser other than those disclosed on Schedule 4.4 (ii) any past or present events, conditions, circumstances, activities, practices, incidents or actions which could form the basis of any claim against Purchaser other than those disclosed on Schedule 4.4.
No Litigation or Claims. There is no pending or threatened action, suit, claim or proceeding of any kind that could adversely affect Lessee’s ability to consummate the transactions contemplated by this Agreement.
No Litigation or Claims. There is no action, suit, litigation, claim, counterclaim or legal or administrative proceeding or investigation pending or, to Seller’s knowledge, threatened against Seller in connection with the Business that would impact the Purchased Assets. Seller is not subject to any order in connection with the Business that would impact the Purchased Assets.

There is no Litigation, threatened or pending, against SAS that could affect SAS’s ability to perform its obligations when and as required under the terms of this Agreement or that otherwise affect SAS’s Contribution. The Contributions are not subject to any order, writ, judgment, award, injunction, or decree of any court or governmental or regulatory authority of competent jurisdiction or any arbitrator or arbitrators; and,
