No Partnership, No Agency. Nothing in this Agreement is intended to create any partnership or joint venture between the Parties.
No Partnership, No Agency. (a) Subject to Section 7.1 and Section 7.2, nothing contained in this Agreement shall give Aon or any of its Affiliates, directly or indirectly, the right to control or direct WTW or its Subsidiaries’ operations prior to the Effective Time, and nothing contained herein shall give WTW, directly or indirectly, the right to control or direct Aon’s or its Subsidiaries’ operations prior to the Effective Time. Prior to the Effective Time, each of Aon and WTW shall exercise, subject to the terms and conditions of this Agreement, complete control and supervision over its and its Subsidiaries’ respective operations.
(b) Nothing in this Agreement and no action taken by the Parties pursuant to this Agreement shall constitute, or be deemed to constitute, a partnership, association, joint venture or other co-operative entity between any of the Parties.
(c) Nothing in this Agreement and no action taken by the Parties pursuant to this Agreement shall constitute, or be deemed to constitute, either Party the agent of the other Party for any purpose. No Party has, pursuant to this Agreement, any authority or power to bind or to contract in the name of the other Party to this Agreement.
No Partnership, No Agency. Nothing in the Agreement constitutes a partnership between the Parties. Neither Party is deemed to be the agent of the other for any purpose, and neither has the power or authority to bind the other or to contract in the name of the other, except as expressly set out in the Agreement.
No Partnership, No Agency. Neither party to this Agreement is the agent, partner, employee or joint venturer of or with the other. Neither party shall act as any of the above for or on behalf of the other, nor in any manner assume or create any financial or other obligation on behalf of the other.

Each of the Parties shall in all other respects, remain independent of each other and nothing in this MoU shall be construed as creating a relationship of partnership, principal and agent or of trustee and beneficiary. No Partnership, No Agency. It is specifically understood and agreed by and among the Parties that the development of the Project on the Property is a private development, that no Party is acting as the agent of any other Party in any respect, and that each Party is an independent contracting entity with respect to the terms, covenants, and conditions contained in this Agreement. The Parties acknowledge and agree that this Agreement does not create a partnership, joint venture, or similar entity, and that no such partnership, joint venture, or similar entity has been created by City and Developer.
No Partnership, No Agency. 19.6.1. Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the Parties, constitute either Party the agent of the other Party, or authorise either Party to make or enter into any commitments for or on behalf of the other Party.
19.6.2. Each Party confirms it is acting on its own behalf and not for the benefit of any other person.
No Partnership, No Agency. Nothing in the present Agreement shall be deemed to create a partnership or agency between the Parties. No Party shall be empowered or entitled to commit the other Party to any obligation or liability other than agreed to in this Agreement without having first secured the prior written permission of the Party concerned.
No Partnership, No Agency. The Members desire the Company to be treated as a limited liability company, and not as a partnership, limited partnership or joint venture of any kind. No Member shall be an agent, partner or joint venturer of any other Member by virtue of this Agreement or admission to or membership in the Company, except that a Member may act as an agent of any other Member for tax purposes pursuant to tax elections duly made.
No Partnership, No Agency. Except as otherwise provided in this Agreement, this Agreement shall not be deemed to create any partnership between the parties hereto in relation to the Company. Except as otherwise expressly provided in this Agreement, nothing herein contained shall be construed to constitute any Member hereof the agent of any other Member hereof or to limit in any manner the Members in the carrying on of their own respective businesses or activities.
