Each right, power, and remedy of Agent as provided for in this Agreement or in the other Financing Documents or now or hereafter existing at law or in equity or by statute or otherwise shall be cumulative and concurrent and shall be in addition to every other right, power, or remedy provided for in this Agreement or in the other Financing Documents or now or hereafter existing at law or in equity or by statute or otherwise, and the exercise or beginning of the exercise by Agent, of any one or more of such rights, powers, or remedies shall not preclude the simultaneous or later exercise by Agent of any or all such other rights, powers, or remedies.

Any reference in any Financing Document to the “continuing” nature of any Event of Default shall not be construed as establishing or otherwise indicating that the Issuer has the independent right to cure any such Event of Default, but is rather presented merely for convenience should such Event of Default be waived in accordance with the terms of the applicable Financing Documents.

No failure by the Administrative Agent or any Lender to exercise any right, power, or remedy under this Agreement or any Loan Document, and no delay by the Administrative Agent or any Lender in exercising any right, power, or remedy under this Agreement or any Loan Document, shall operate as a waiver thereof. No single or partial exercise of any right, power, or remedy of the Administrative Agent or any Lender under this Agreement or any other Loan Document shall preclude any other or further exercise thereof, or the exercise of any other right, power, or remedy of the Administrative Agent or any Lender. The exercise of any right, power, or remedy of the Administrative Agent or any Lender shall in no event constitute a cure or waiver of any Event of Default under this Agreement, the Notes, or any other Loan Document, or a waiver of the right of the Administrative Agent or any Lender or the holder of any of the Notes to exercise any other right under this Agreement, the Notes, or any other Loan Document, unless in the exercise of such right, all obligations of Contran under this Agreement, the Notes, and all other Loan Documents are paid in full. The rights and remedies provided in this Agreement and the Loan Documents are cumulative and are not exclusive of any right or remedy provided by law. Time is of the essence and the provisions of this Agreement and the other Loan Documents shall be enforced strictly.
