Non-Payment Termination. In the event of a Non-Payment Termination, the Company shall pay to Employee the Employee's full base salary, when due, through the Final Date at the rate in effect immediately prior to the delivery of the pertinent Notice of Termination, if a Notice of Termination was required to have been given, or if it was not, then on the Final Date, plus all other amounts to which the Employee is entitled under any compensation plan of the Company at the time such payments are due, and the Company shall have no further obligations to the Employee under Section 1 or otherwise under this Agreement.

Non-Payment Termination. In the event a customer’s service is terminated for non-payment, to re-establish customer’s account, a Utility Service Deposit shall be required prior to service reconnection. A Utility Service Deposit shall remain in an account held by the City for the life of the customer’s account. The Deposit will be charged as follows:
Non-Payment Termination. In the event that the Deposit is not paid within three (3) business day, the Remainder is not paid on the Due Date, or any other fees are not paid in accordance with this Agreement, De Novo shall be entitled to take zero action or to cease all actions and not provide the Reserved Services on the Wedding Date. In the event that De Novo ceased its actions due to the client’s failure to pay, all amounts paid to De Novo previously shall be forfeited on account of contractual breach (no refund).
Non-Payment Termination. In the event you fail to pay any of the monthly service fees or other fees when due, Riverview may, with thirty (30) days written notice to you, terminate this Agreement, and any such unpaid fees shall be deducted from any refund due to you.

The Employee can rebut the above presumption if he proves the idea, process or invention (i) was first conceived or developed after termination of employment, (ii) was conceived or developed entirely on the Employee’s own time without using the Company’s equipment, supplies, facilities, personnel or Confidential Information, and (iii) did not result from or is not derived directly or indirectly, from any work performed by the Employee for the Company or from work performed by another employee of the Company to which the Employee had access.

  • Company Termination Fee (a) If this Agreement is terminated (i) by Parent pursuant to Section 8.4(a) (Company Change in Recommendation) or (ii) by the Company pursuant to Section 8.3(c) (Termination for Superior Proposal), then the Company shall, within two (2) Business Days after such termination in the case of clause (i) or concurrently with such termination in the case of clause (ii), pay Parent a fee equal to $356,000,000 (the “Company Termination Fee”) less any amount of Parent Expenses previously paid by the Company.

  • Payment Through Termination Upon termination of Employee's employment for any reason provided above, Employee shall be entitled to receive all compensation earned and all benefits and reimbursements (including payments for accrued vacation and sick leave, in each case in accordance with applicable policies of the Company) due through the effective date of termination. Except as specified in the preceding two sentences, Employee shall not be entitled to receive any incentive bonus compensation after the effective date of termination of his employment. All other rights and obligations of the Company and Employee under this Agreement shall cease as of the effective date of termination, except that the Company's obligations under this Section 6(f) and Section 11 below and Employee's obligations under Sections 7, 8, 9 and 10 below shall survive such termination in accordance with their terms.
