Non-Removal. Other than in the ordinary course of business, Employee shall not directly or indirectly copy, take, or remove from Company’s premises any of Company’s Confidential Information without the prior written consent of Company.

Except as required by law, Employee shall not, during Employee’s employment or at any time after Employee ceases to be employed by University, either directly or indirectly, use, divulge, disclose or communicate, other than in connection with Employee’s employment contract with the University, any Confidential Information to any person, firm, corporation, association or other entity not employed by the University or not authorized by the University to receive such Confidential Information, without the prior consent of the University. Employee will use reasonable and prudent care to safeguard, protect and prevent the unauthorized use and disclosure of Confidential Information.
Non-Removal. Loan Originator will not remove any Trade Secrets from the offices of N A Nationwide Mortgage or the premises of any facility in which N A Nationwide Mortgage is performing services, or allow such removal, unless permitted in writing by the President.

Executive recognizes that, as between Employer and Executive, all of the Proprietary Items, whether or not developed by Executive, are the exclusive property of Employer. Upon termination of this Agreement by either party, or upon the request of Employer during the period of employment, Executive will return to Employer all of the Proprietary Items in Executive's possession or subject to Executive's control, and Executive shall not retain any copies, abstracts, sketches, or other physical embodiment of any of the Proprietary Items.
Non-Removal. The Company agrees that, during the term of this Agreement, it will not remove, and will not permit to be removed (upon registration of transfer, reissuance or otherwise), the Legend from any such certificate and will place or cause to be placed the Legend on any new certificate issued to represent Investor Common Stock theretofore represented by a certificate carrying the Legend.
