Non-Solicitation of Members. During the Term of this Agreement and for a period of two (2) years after the effective date of termination of this Agreement, PROVIDER shall not directly or indirectly engage in the practice of solicitation of Members, Plans or any employer of said Members without XXXXX’ prior written consent. For purposes of this Agreement, a solicitation shall mean any action by PROVIDER which XXXXX may reasonably interpret to be designed to persuade or encourage (i) a Member or Plan to discontinue his/her/its relationship with XXXXX or (ii) a Member or an employer of any Member to disenroll from a Plan contracting with XXXXX. A breach of this paragraph shall be grounds for immediate termination of this Agreement.

Non-Solicitation of Members. During the effective term of this Agreement and any of its amendments, and for a period of one (1) year following the termination or non-renewal of this Agreement or any of its amendments for any reason, neither Network nor Network Providers shall require any Member to disenroll from the Plan for any reason, nor shall Network or Network Provider solicit Plan's Members on their own behalf or on behalf of another person or entity. By way of example but not limitation, neither Network nor Network Providers shall solicit Members through meetings, visits, telephone calls, or individual letters. This Section shall survive the termination of this Agreement.

Non-Solicitation of Members. During the initial and any --------------------------- succeeding term of this Agreement and for a period of one (1) year following the date of termination of this Agreement, DENTIST will not knowingly or directly advise any PacifiCare Member to disenroll from PacifiCare and will not solicit any Member to become enrolled with any other Health Maintenance Organization, provider organization or any other similar hospitalization or dental payment plan or insurance program. No DENTIST, employee, or subcontractor of the DENTIST shall make any derogatory remarks regarding PacifiCare to any Members.

MSO’s obligation not to solicit Members is a material inducement for MSO’s engagement by VISTA pursuant to this Agreement. This Section 11.1.6, however, is not intended to interfere with a Member’s right to freely select a Provider or alternative health coverage subsequent to termination of this Agreement. Further, MSO acknowledges and agrees that any and all marketing or solicitation communication with Medicare Members and Medicaid Members must be approved in advance of dissemination by CMS or AHCA, as applicable, in accordance with applicable requirements.
