Non-Solicitation of Members. During the Term of this Agreement and for a period of two (2) years after the effective date of termination of this Agreement, PROVIDER shall not directly or indirectly engage in the practice of solicitation of Members, Plans or any employer of said Members without XXXXX’ prior written consent. For purposes of this Agreement, a solicitation shall mean any action by PROVIDER which XXXXX may reasonably interpret to be designed to persuade or encourage (i) a Member or Plan to discontinue his/her/its relationship with XXXXX or (ii) a Member or an employer of any Member to disenroll from a Plan contracting with XXXXX. A breach of this paragraph shall be grounds for immediate termination of this Agreement.

Non-Solicitation of Members. During the effective term of this Agreement and any of its amendments, and for a period of one (1) year following the termination or non-renewal of this Agreement or any of its amendments for any reason, neither Network nor Network Providers shall require any Member to disenroll from the Plan for any reason, nor shall Network or Network Provider solicit Plan's Members on their own behalf or on behalf of another person or entity. By way of example but not limitation, neither Network nor Network Providers shall solicit Members through meetings, visits, telephone calls, or individual letters. This Section shall survive the termination of this Agreement.

Non-Solicitation of Members. Contractor acknowledges that ACC-TN members constitute an important and vital aspect of ACC-TN. During the term of this Agreement, and for 12 months following the expiration or termination of this Agreement, Contractor will not directly or indirectly, for the benefit of the Contractor or a third- party, solicit any of ACC-TN’s members or potential members for a competing association, organization, or business, or otherwise induce or attempt to induce any members to terminate their membership with ACC-TN or to otherwise disrupt or interfere with, or attempt to disrupt or interfere with, ACC-TN's operations or relationships with its members or potential members. INTELLECTUAL PROPERTY. Contractor agrees that any and all intellectual property created by the Contractor in performance of the Services will be a work made for hire and by operation of law will be owned by ACC-TN. Contractor hereby assigns and agrees to assign to ACC-TN all future rights, title, and interest Contractor may have to any and all intellectual property which Contractor creates in performance of the Services, whether created individually or jointly with others, and Contractor agrees to execute and deliver such further documents and instruments as may be necessary to effect such assignment.
Non-Solicitation of Members. During the term of this Agreement, Facility shall not attempt to persuade or solicit Members to change health plans. The foregoing shall not limit Facility’s right to provide medical advice regarding Members’ health or healthcare treatment.
Non-Solicitation of Members. Provider will not solicit or encourage Members to select another health plan. Nothing in this provision is intended to limit the information available to Members related to Medical Necessity, appropriate treatment, or alternative care.
Non-Solicitation of Members. During the initial term of this Agreement, any subsequent term of this Agreement and for a period of twelve (12) months following the termination of this Agreement, Provider Group shall not directly or indirectly engage in the solicitation of Members or any employer of said Members without MHG's prior written consent. For purposes of this Agreement, "solicitation" shall mean any action by Provider Group which MHG may reasonably interpret to be designed to persuade a Member to discontinue his/her relationship with MHG, to disenroll from a Plan contracting with MHG, or to encourage a Member to receive health care directly from Provider Group on a fee-for-service basis. Notwithstanding the foregoing, following the termination of this Agreement, Provider Group may notify Members who are patients of Provider Group that Provider Group is no longer associated with MHG.
Non-Solicitation of Members. PCP recognizes and agrees that VISTA has a valuable business relationship with each of its Members and, further, that PCP stands in a position to influence Members' decisions concerning insurers. In recognition of VISTA's valuable business relationships with its Members, PCP agrees that, during the Term, and upon termination of this Agreement for any reason whatsoever, PCP shall not solicit Members, directly or indirectly, to enroll in any other health insurance or health coverage or alternative health care delivery system. Non-Solicitation of Members. In the event Executive’s employment with the Bank terminates pursuant to paragraphs 3(d), 3(e) or 3(f), for a period during which Executive is owed Termination Payments, Executive will not directly or indirectly solicit, contact, call upon, communicate with or attempt to communicate with any member of Bank, with whom Executive had business dealings while employed by Bank, with respect to any product or service that competes with the Bank’s Credit Products. The prohibition set forth in the immediately preceding sentence shall not apply to an Executive who has elected, pursuant to Section 14(d) hereof, not to receive certain Termination Payments.
