Non-Solicitation of Restricted Persons. While Employee is employed by the Company, and for a period of one (1) year immediately following the end, for whatever reason, of Employee’s employment with the Company, Employee shall not directly or indirectly solicit any Restricted Person to provide services to or on behalf of a person or entity in a manner reasonably likely to pose a competitive threat to the Company. For purposes of this Article VII, the term “Company” means Kohl’s, Inc. and its parent companies, subsidiaries and other affiliates.
Non-Solicitation of Restricted Persons. While Executive is employed by Company, and for a period of 12 months immediately following the end, for whatever reason, of Executive’s employment with Company, Executive shall not directly or indirectly solicit any Restricted Person to provide services to or on behalf of a person or entity in a manner reasonably likely to pose a competitive threat to Company. For purposes of this Article VII, the term “Company” means Kohl’s Department Stores, Inc. and its parent companies, subsidiaries and other affiliates.

While Employee is employed by the Company and following the end, for whatever reason, of Employee’s employment with the Company, Employee shall not use Company Trade Secrets to directly or indirectly solicit any Restricted Person to provide services to or on behalf of a person or entity in a manner reasonably likely to pose a competitive threat to the Company. For purposes of this Article VII, the term “Company” means Kohl’s, Inc. and its parent companies, subsidiaries and other affiliates.

The Grantee agrees that during the Restricted Period he or she will not directly or indirectly solicit or attempt to solicit any Restricted Person to terminate employment for the purpose of engaging in, or starting a business which engages in, a Competitive Enterprise.

Xxxxxxx agrees that during the Restricted Period he or she will not directly or indirectly solicit or attempt to solicit any Restricted Person to terminate employment for the purpose of engaging in, or starting a business which engages in, a Competitive Enterprise.

During the Restricted Period, each Significant Shareholder shall not, by an agent, on his, her or its own account or for or in association with any other person directly or indirectly hire, solicit or endeavor to entice away from the Parent Group any Restricted Person or induce any Restricted Person to breach their contract of employment or break their relations or engagement with any member of the Parent Group or encourage a Restricted Person to resign provided that during the Restricted Period this restriction shall only apply to Restricted Persons with who were known to or worked with such Significant Shareholder in the period of twelve (12) months prior to the commencement of the Restricted Period. With respect to Bighorn Ventures, LLC (“Bighorn Ventures”), this section shall only apply to Bighorn Ventures and any entity for which Bighorn would control any of the hiring or solicitation of any Restricted Person from the Parent Group and, solely as it applies to Bighorn Ventures, the term Restricted Period shall mean from the Closing until the date that is one-year after the Closing Date.
Non-Solicitation of Restricted Persons. In accepting the benefits provided in this Agreement, and in consideration of those benefits, Employee agrees that for the twenty-four (24) month period following the Separation Date, Employee shall not directly or indirectly solicit any Restricted Person to provide services to or on behalf of a person or entity in a manner reasonably likely to pose a competitive threat to the Company. The term “Restricted Person” means an individual who (i) at the time of the solicitation is (a) an employee of the Company and (b) an employee of the Company who has special skills or knowledge important to the Company or has skills that are difficult for the Company to replace; and (ii) is an employee with whom Employee had a working relationship or about whom Employee acquired or possessed specialized knowledge in connection with Employee’s employment with the Company, during the twenty-four (24) month period immediately prior to the Separation Date.
Non-Solicitation of Restricted Persons. During the Restricted Period, Employee (individually, or through or on behalf of any entity, person, corporation, or partnership) shall not, directly or indirectly, without the prior written consent of the Companies, recruit or solicit or assist others in recruiting or soliciting any Restricted Person.
