NONCONFORMITIES AND DEFECTS. Vendor shall inform RRC of any defects or nonconformities Vendor discovers in goods, services, or products provided by Vendor. Vendor agrees that defects or other non-conformities in a product, good, or service may not be readily apparent, including, but not limited to contracts for software development. In the case of software development contracts, defects or non-conformities may not become apparent until after testing is complete and the RRC determines a project phase is over. Despite initial approval by RRC, RRC reserves the right during the term of the Contract or warranty set forth in this Section IV to determine in its sole discretion that a non-conformity or defect exists in a good, service, or product provided by Vendor. After RRC informs Vendor of its determination, Vendor shall perform a root cause analysis of the warranty claim. If such analysis shows that RRC has a valid warranty claim, Vendor shall immediately take such curative measures as are necessary for the good, service, or product to become acceptable to RRC and to minimize adverse effects or damages to RRC, but in no event shall the cure be made later than (30) days after receiving notice of RRC’s determination. Curative measures are limited to remediation of the unsatisfactory work without change to the applicable specifications and without regard to the amount of the effort expended on the original deliverable. Cure to all defects and nonconformities must take place by the end of the warranty term or the warranty will be extended until all defects and nonconformities are cured. If such root cause analysis shows that RRC does not have a valid warranty claim, for example, non-conformities or defects result from RRC’s changes to the goods, services or property provided by Vendor or the environment in which they operate, no warranty claim shall be sustained.

NONCONFORMITIES AND DEFECTS. Vendor shall inform RRC of any Defects or Nonconformities Vendor discovers in Software Deliverables provided by Vendor. Defects or Nonconformities may not become apparent until after acceptance testing is complete and the Software Deliverable is being used in a production environment. Vendor warrants that, for a period of six (6) months from Go-Live, each Software Deliverable will continue to perform the functions described in the requirements mutually agreed upon and documented during the requirements and design period without Defects. If there has been a breach of this warranty, then Vendor’s sole obligation, and RRC’s exclusive remedy, will be for Vendor to correct the Defect at no additional charge, or terminate the Workorder in whole or in part.

  • Notice of Defects If, based on Consulting Engineer/Architect's involvement during the construction phase, Consulting Engineer/Architect observes or otherwise becomes aware of any defect in the work, he shall give prompt written notice to City of such defects and their approximate location on the Project. However, Consulting Engineer/Architect shall not have control over or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions, inspections and programs in connection with the work, since these are solely the Contractor's responsibility under the contract for construction.   • Correction of Defective Work 2.10.1 Design-Builder agrees to correct any Work that is found to not be in conformance with the Contract Documents, including that part of the Work subject to Section 2.9 hereof, within a period of one (1) year from the date of Final Acceptance of the Work or any portion of the Work, or within such longer period to the extent required by the Contract Documents or applicable Legal Requirements or Government Approvals.

  • Product Warranty Claims When we receive a valid warranty claim for an HP hardware or software product, HP will either repair the relevant defect or replace the product. If HP is unable to complete the repair or replace the product within a reasonable time, Customer will be entitled to a full refund upon the prompt return of the product to HP (if hardware) or upon written confirmation by Customer that the relevant software product has been destroyed or permanently disabled. HP will pay for shipment of repaired or replaced products to Customer and Customer will be responsible for return shipment of the product to HP.

  • Warranty Against Defects Subdivider shall warrant all Subdivision public improvements to be free from defects and shall make all necessary repairs or modification to the Subdivision for a period of Three (3) years from acceptance of dedication of public improvements of the final phase of the Subdivision by the City of Avon. If the Subdivider fails to meet the warranty obligations in a timely manner, the City of Avon may contract with any other party for the necessary work or use its own employees to perform the work and to be reimbursed by the Subdivider or, if sufficient funds are available, to draw upon the financial guarantees provided in this Agreement.
