Notice of Commercial Operation Date. (COD). Licensee shall notify the Judicial Council in writing no less than ten (10) Business Days and no more than fifteen (15) Business Days before the date on which Licensee expects the COD to occur. Licensee shall give the Judicial Council written notice of the actual COD within twenty-four hours after its occurrence. Licensee warrants that the System As-Built Drawings will be fully consistent with all documentation previously approved by the Judicial Council as of the COD. The COD establishes when Licensee may begin to sell Electricity to the Judicial Council under the SPPA.
Notice of Commercial Operation Date. Licensee shall in a form substantially similar to Attachment 4 notify Trustees in writing no less than ten (10) days and no more than fifteen (15) days before the date on which Licensee expects the COD to occur. Licensee shall give Trustees the Notice of COD within twenty-four hours after its occurrence. Licensee warrants that the System as built will be fully consistent with all documentation previously approved by Trustees as of the COD except for any minor field changes as set forth in Section 8.1. The COD establishes when Licensee may begin to sell Electricity from the System.
Notice of Commercial Operation Date. The "Commercial Operation Date" shall be the date on which the Facility as a whole first commences generating electricity for sale, excluding electricity generated during the period of on-site test operations and commissioning of the Facility. For purposes of this Tax Agreement, the Commercial Operation Date is deemed to be the commercial operation date indicated in the Company's notice of commercial operation to the New York Independent System Operator ("NYISO") for the Facility. Within thirty (30) days after its notice to the NYISO, the Company shall provide notice to the Agency of the Commercial Operation Date. Due to energy market conditions, among other reasons, the Company is not able to make any representations regarding when or whether the Facility will be constructed and therefore when Payments would commence. Notwithstanding anything herein to the contrary, the Company shall not be obligated to make Payments during construction of the Facility and prior to the Commercial Operation Date.

LICENSEE shall give the DGS written notice of the actual COD the system started continuous generation achieving GEP within twenty-four hours after its occurrence. LICENSEE’s PE or Engineer of Record warrants that the System As-Built Drawings will be fully consistent with all documentation previously approved by the DGS as of the actual COD. The actual COD establishes when LICENSEE may begin to sell Electricity to HOST under the SPPA.
Notice of Commercial Operation Date. Seller shall notify SRP at least five business days in advance of the anticipated Commercial Operation Date and shall confirm to SRP in writing within three business days of when the Commercial Operation Date occurs.
