Obligations during Disputes. While a Dispute is continuing, the Parties are required to continue to perform their respective obligations, including the payment of the Energy Payment and/or Deemed Energy Payment, under this Agreement until such dispute has been fully and finally resolved. Where a Dispute has been referred for resolution by arbitration in accordance with the Namibian arbitration laws, then neither of the Parties shall be entitled to exercise any rights or election arising in consequence of any alleged default by the other arising out of the subject matter of the Dispute until the Dispute has been resolved by the decision of the arbitrators.

Obligations during Disputes. CONSULTANT shall carry on all work required under this Agreement and maintain the schedule for services during all disputes or disagreements with LOCAL PUBLIC AGENCY. No work shall be delayed or postponed pending resolution of any disputes or disagreements except as CONSULTANT and LOCAL PUBLIC AGENCY may otherwise agree in writing. Should CONSULTANT fail to continue to perform its responsibilities as regards all non-disputed work without delay, any additional costs incurred by the LOCAL PUBLIC AGENCY or CONSULTANT as a result of such failure to proceed shall be borne by CONSULTANT, and CONSULTANT shall make no claim against LOCAL PUBLIC AGENCY for such costs. LOCAL PUBLIC AGENCY may withhold payments on disputed items pending resolution of the dispute.

  • Indemnity Obligations An Indemnified Party seeking indemnification under this Agreement must notify Customer promptly of any event requiring indemnification. However, an Indemnified Party’s failure to notify will not relieve Customer from its indemnification obligations, except to the extent that the failure to notify materially prejudices Customer. Customer may assume the defense of any proceeding requiring indemnification unless assuming the defense would result in potential conflicting interests as determined by the Indemnified Party in good faith. An Indemnified Party may, at Customer’s expense, defend itself until Customer’s counsel has initiated a defense of the Indemnified Party. Even after Customer assumes the defense, the Indemnified Party may participate in any proceeding using counsel of its own choice and at its own expense. Customer may not settle any proceeding related to this Agreement unless the settlement also includes an unconditional release of liability for all Indemnified Parties. Customer’s indemnification obligations are not the sole remedy for Customer’s breach of this Agreement and are in addition to any other remedies available. Customer’s indemnification obligations hereunder are not an Indemnified Party’s sole remedy for events giving rise to indemnity by Customer hereunder, and are in addition to any other remedies an Indemnified Party may have against Customer under this Agreement.

Merchant agrees to comply with any access or identification procedures and security protocols established from time to time by ISO, and if Merchant believes that any Code or security procedures has or may have become known by an unauthorized person (whether employed by Merchant or not), Merchant shall immediately notify ISO by telephone and confirm to ISO in writing such oral notification within 24 hours.
