Obligations to Refrain From Competing Unfairly. In addition to the other obligations agreed to by Employee in this Agreement, Employee agrees that during the Employment Term and for five (5) year(s) thereafter, he shall not at any time, directly or indirectly for the benefit or any other party than the Company or any of its affiliated companies, (a) induce, entice, or solicit any employee of the Company or any of its affiliated companies to leave his employment, or (b) contact, communicate or solicit any customer of the Company or any of its affiliated companies derived from any customer list, customer lead, mail, printed matter or other information secured from the Company or any of its affiliated companies or their present or past employees, or (c) in any other manner use any customer lists or customer leads, mail, telephone numbers, printed material or material of the Company or any of its affiliated companies relating thereto.
Obligations to Refrain From Competing Unfairly. 9.1. In addition to the other obligations agreed to by Employee in this Agreement, Employee agrees that during his employment with Employer or Subsidiary and following the termination of his employment by Employer and Subsidiary he shall not at any time, directly or indirectly, (a) induce, entice, or solicit any employee of Employer or Subsidiary to leave his employment, or engage in any discussions or communications with any employee of Employer or Subsidiary concerning such employee’s employment or the possibility of such employee’s leaving his employment or (b) contact, communicate or solicit any customer of Employer or Subsidiary derived from any customer list, customer lead, mail, printed matter or other information secured from Employer, Subsidiary or their present or past employees, or (c) in any other manner use any customer lists or customer leads, mail, email addresses, telephone numbers, printed material or material of Employer or Subsidiary relating thereto.

In addition to the other obligations agreed to by Executive in this Agreement, Executive agrees that during his employment with Employer and following the termination of his employment by Employer he shall not at any time, directly or indirectly, (a) induce, entice, or solicit any employee of Employer to leave his employment, or (b) contact, communicate or solicit any customer of Employer derived from any customer list, customer lead, mail, printed matter or other information secured from Employer or its present or past employees, or (c) in any other manner use any customer lists or customer leads, mail, telephone numbers, printed material or material of Employer relating thereto. Notwithstanding the above, the parties acknowledge and agree that if Executive shall enter into any license or franchise agreement or comparable arrangement with Employer or any subsidiary or affiliate of Employer for the operation of a business also conducted by Employer or such subsidiary or affiliate, then Executive's operation of such business in the ordinary course shall not be deemed to be a violation of the restrictions in clauses (b) and (c) of the preceding sentence, provided Executive has first obtained the approval of the Executive Compensation Committee of Employer's Board of Directors.
Obligations to Refrain From Competing Unfairly. (a) The Employee acknowledges and agrees that the restrictive covenants contained in this Section are supported by adequate consideration to the Employee from the Company as specified in this Agreement, including, but not limited to, the consideration provided in Sections 1, 4, 6, 8, 9, and 10. In exchange for the consideration specified herein and as a material incentive to enter into this Agreement, and to enforce the Employee’s obligations under Section 10 hereof, the Employee agrees that during the Employment Period and for one (1) year following the Date of Termination (“Non-Competition Period”) within the territory of the United States, regardless of the reason for such termination, he shall not at any time, directly or indirectly, for the benefit of Employee or any other party than the Company:
(i) engage in any activity, work, business, or investment in the Correctional Industry, or any other business that is directly competitive with the activities conducted by the Company or any of its affiliates, during the Employee’s employment with the Company, including any attempted or actual activity as an investor, employee, officer, director, shareholder, consultant, independent contractor, partner, joint venture, manager, sales representative, agent, owner, or any similar capacity in the Correctional Industry; provided, however, the Employee may own an investment interest of less than 1% in a publicly traded company. “Correctional Industry” means companies engaged as a provider of corrections, treatment and educational services to government agencies;

Obligations to Refrain From Competing Unfairly. 7.1 Employee agrees that during his employment by Employer and following the termination of his employment, for the duration of the Obligation Period, he shall not, directly or indirectly, (1) induce, entice, or solicit any employee of Employer to leave his or her employment, or (b) induce, entice, or solicit any customer of Employer to terminate any contractual or business relationship with Employer, or (c) in any other manner use any customer lists or customer leads, mail, telephone numbers, printed material or material of Employer.

Consultant agrees that during the Term of this Agreement, he shall not at any time, directly or indirectly for the benefit of any person or entity other than a member of the Group, (a) induce, entice, or solicit any employee of any member of the Group to leave his or her employment, or (b) contact, communicate or solicit any customer of any member of the Group derived from any customer list, customer lead, mail, printed matter or other information secured from any member of the Group or their present or past employees, or (c) in any other manner use any customer lists or customer leads, mail, telephone numbers, printed material or material of any member of the Group, or (d) take any of the action or perform any of the services referred to in Section 10(b)(iii) above.
