Occupational Heath and Safety and Environmental Matters. (a) To the Knowledge of Seller, all operations of the Business have been conducted in compliance with all, and Seller is not liable in any respect for any violation of any, applicable federal, state or local laws or regulations pertaining to occupational health and safety and/or environmental matters, including any federal, state or local statute, regulation, ordinance, Decree, or other requirement of law relating to protection of human health or welfare or the environment or to the identification, transportation, handling, discharge, emission, treatment, storage, or disposal of any pollutant, contaminant, or hazardous or toxic substance or material (the “Environmental Laws”).
(b) There is no Action pending or, to the Knowledge of Seller and the Shareholder, threatened or Known to be contemplated by any Body, in respect of or relating to the Assets or the Business with respect to occupational health and safety or environmental matters.
(c) Seller has not received any notice or other communication of a possible claim or citation against or in respect of any real property owned or leased by Seller relating to occupational health and safety or environmental matters, and neither Seller nor the Shareholder has any Knowledge of any basis for any such claim or action.
(d) To the Knowledge of Seller, no substance identified or regulated pursuant to any Environmental Law, including any hazardous substance, hazardous waste, toxic substance, pollutant, contaminant or petroleum or any fraction thereof (“Hazardous Substance”), has come to be located on, at, beneath, or near any real property currently or, to the Knowledge of Seller, formerly owned, operated, leased, or used by Seller.
(e) To the Knowledge of Seller, no real property currently or, to the Knowledge of Seller, formerly owned, operated, leased, or used by Seller contains or formerly contained any underground or aboveground storage tank, surface impoundment, landfill, land disposal area, polychlorinated biphenyls, asbestos or urea formaldehyde insulation.
(f) Seller has not disposed of, transported or arranged for the disposal or transportation of any Hazardous Substance at or to any facility at which, to the Knowledge of each and the Shareholder, there has been a release or threatened release of a Hazardous Substance.
(g) To the Knowledge of Seller, no other Person with whom either has entered into a Contract for environmental matters is or has been the subject of any Action arising out of the substance of...

The operations of NextPhase does not require or have any, Permits from any Bodies relating to occupational health and safety or environmental matters. There is no litigation, investigation or other proceeding pending or, to the knowledge of the NextPhase Shareholders, threatened or known to be contemplated by any Body in respect of or relating to NextPhase with respect to occupational health and safety or environmental matters. NextPhase is not liable in any respect for any violation of any, applicable United States federal, state, local or foreign laws or regulations, pertaining to occupational health and safety and environmental matters, including, without limitation, those relating to the emission, discharge, storage, release or disposal of Materials of Environmental Concern into ambient air, surface water, ground water or land surface or sub-surface strata or otherwise relating to the manufacture, processing, distribution, use, handling, disposal or transport of Materials of Environmental Concern. NextPhase has not received any notice of a possible claim or citation against it or in respect of, or with regard to its respective assets or the Business, relating to occupational health and safety or environmental matters, and the NextPhase Shareholders are not aware of any basis for any such Action.

There is no litigation, investigation or other proceeding pending or, to the knowledge of each of the Shareholders, threatened or known to be contemplated by any Body in respect of or relating to the DCAP Business or the assets of the DCAP Entities with respect to occupational health and safety or environmental matters. All operations of the DCAP Business have been conducted in compliance with all, and no DCAP Entity is liable in any respect for any violation of any, applicable federal, state or local laws or regulations pertaining to occupational health and safety and environmental matters, including, without limitation, those relating to the emission, discharge, storage, release or disposal of Materials of Environmental Concern into ambient air, surface water, ground water or land surface or sub-surface strata or otherwise relating to the manufacture, processing, distribution, use, handling, disposal or transport of Materials of Environmental Concern. No DCAP Entity nor either Shareholder has received any notice of a possible claim or citation against or in respect of any real property leased by any DCAP Entity, or with regard to its assets or business, relating to occupational health and safety or environmental matters and neither of the Shareholders is aware of any basis for any such Action.

To the Company's and Morrison's knowledge, all previous operations of the Company were conducted in compliance with all, and the Company is not liable in any respect for any violation of any, applicable United States federal, state, local or foreign laws or regulations, pertaining to occupational health and safety and environmental matters, including, without limitation, those relating to the emission, discharge, storage, release or disposal of Materials of Environmental Concern into ambient air, surface water, ground water or land surface or sub-surface strata or otherwise relating to the manufacture, processing, distribution, use, handling, disposal or transport of Materials of Environmental Concern. The Company has not received any notice of a possible claim or citation against or in respect of any real property leased by the Company, or with regard to assets or the the Company Business, relating to occupational health and safety or environmental matters and neither the Company nor Xxxxxxxx are aware of any basis for any such Action.

There is no litigation, investigation or other proceeding pending or, to the knowledge of EXTECH, threatened or known to be contemplated by any Body in respect of or relating to EXTECH's business or the assets of EXTECH with respect to occupational health and safety or environmental matters. All operations of EXTECH's business have been conducted in compliance with all, and EXTECH is not liable in any respect for any violation of any, applicable federal, state or local laws or regulations pertaining to occupational health and safety and environmental matters, including, without limitation, those relating to the emission, discharge, storage, release or disposal of Materials of Environmental Concern into ambient air, surface water, ground water or land surface or subsurface strata or otherwise relating to the manufacture, processing, distribution, use, handling, disposal or transport of Materials of Environmental Concern. EXTECH has not received any notice of a possible claim or citation against or in respect of any real property leased by EXTECH, or with regard to its assets or business, relating to occupational health and safety or environmental matters and EXTECH is not aware of any basis for any such Action.

Seller, Company and the Subsidiaries have received no notice of any litigation, investigation or other proceeding pending against Company or any of the Subsidiaries in respect of or relating to their business or their owned assets with respect to occupational health and safety or environmental matters, and to the knowledge of Seller, Company and each Subsidiary, no such proceedings have been threatened.

All operations of the Business have been conducted in compliance with all, and Seller is not liable in any respect for any violation of any, applicable federal, state or local laws or regulations pertaining to occupational health and safety and environmental matters, including, without limitation, those relating to the emission, discharge, storage, release or disposal of Materials of Environmental Concern into ambient air, surface water, ground water or land surface or sub-surface strata or otherwise relating to the manufacture, processing, distribution, use, handling, disposal or transport of Materials of Environmental Concern. Neither Seller nor either Principal Shareholder has received any notice of a possible claim or citation against or in respect of any real property leased by Seller, or with regard to the Assets or the Business relating to occupational health and safety or environmental matters and neither Seller nor the Principal Shareholder is aware of any basis for any such Action.
Occupational Heath and Safety and Environmental Matters. (a) Neither Seller nor HTM has disposed of any Hazardous Substances at or on the Real Properties or any properties leased or used by either Seller and/or HTM.
(b) Each Seller and HTM has all material Permits from all Bodies relating to occupational health and safety or environmental matters or required under Environmental Laws to lawfully conduct the Business and/or required in connection with the Real Properties.
(c) There is no Action pending or, to the Knowledge of any Seller or HTM, threatened or known to be contemplated by any Body in respect of or relating to the Assets, the Business and/or the Real Properties with respect to occupational health and safety or environmental matters.
(d) Except as set forth in Schedule 3.21(d), all operations of the Business and in connection with the Real Properties have been conducted in material compliance with all, and, to the Knowledge of either Seller or HTM, no Seller or HTM is liable in any respect for any violation of any, applicable federal, state or local laws or regulations pertaining to occupational health and safety and/or environmental matters, including the Environmental Laws.
(e) Except as set forth in Schedule 3.21(d), no Seller or HTM has received any notice of a possible claim or citation against or in respect of any real property owned and/or operated by, leased by or to, or used by any Seller or HTM (including the Cranberry Property and the Punxsutawney Property, as each such term is hereinafter defined) relating to occupational health and safety or environmental matters or Liability under any Environmental Law, and each Seller and HTM has no Knowledge of any basis for any such claim or action.
(f) No substance identified or regulated pursuant to any Environmental Law, including any Hazardous Substance, has, to the Knowledge of any Seller and/or HTM, come to be located on, at, beneath, or near any real property currently owned, operated, leased or used by any Seller and/or HTM (including the Cranberry Property and the Punxsutawney Property).
