Occurrence and Notice. To the extent either Party is prevented by Force Majeure from carrying out, in whole or part, its obligations under this Agreement and such Party (the “Claiming Party”) gives notice and details of the Force Majeure to the other Party as soon as practicable, then, unless the terms of this Agreement specify otherwise, the Claiming Party shall be excused from the performance of its obligations related thereto. The Claiming Party shall remedy the Force Majeure with all reasonable dispatch. The non-Claiming Party shall not be required to perform its obligations to the Claiming Party that correspond to the obligations of the Claiming Party that are excused by Force Majeure.

Occurrence and Notice. (a) Notwithstanding anything in this Agreement to the contrary, if any Party is unable wholly or in part as a result of an Event of Force Majeure to carry out any obligation under this Agreement (including any action required to be taken by the Management Team, but excluding the obligations to fund or make payments hereunder), then such Party shall forthwith give the other Parties written notice of the Event of Force Majeure and the expected delays in meeting applicable requirements, whereupon that obligation of the Party giving the notice will be suspended so far as it is affected by that Event of Force Majeure during but not longer than its continuance
