Common use of Odměna Clause in Contracts

Odměna. AbbVie shall pay Institution in accordance with the Study budget attached hereto and incorporated herein as Exhibit A (“Budget Summary and Payment Schedule”). The parties agree that the amount for payments set forth in Exhibit A represents the fair market value for the services to be rendered and has not been determined in any manner that takes into account the volume or value of any referrals or business otherwise generated between Institution and any member of the AbbVie Group. Institution understands and agrees that no Institution Personnel other than Principal Investigator, subinvestigator(s), study nurses and study co-ordinator will receive any funds directly from AbbVie in connection with the performance of the Study. b Zdravotnické zařízení bere na vědomí a souhlasí s tím, že kromě Hlavního zkoušejícího, spoluzkoušejících, studijních sester a studijní koordinátorky, nikdo z Personálu zdravotnického zařízení nedostane od společnosti AbbVie v souvislosti s prováděním Studie vyplaceny přímo žádné prostředky. c Institution represents and warrants that it is now in compliance with, and undertakes that in performance of its obligations under this Agreement, it shall continue to comply with, all applicable Laws, regulations and industry codes of practice, including those related to anti-bribery and anti-corruption. Institution further represents and warrants that it will not offer, promise or authorize the giving of anything of value to a government official or other person to obtain or retain business or gain a business advantage. Zdravotnické zařízení prohlašuje a zaručuje, že aktuálně dodržuje a zavazuje se, že při plnění svých povinností podle této Smlouvy bude dodržovat všechny platné Zákony, předpisy a doporučené postupy, mj. i ty, které souvisí s bojem proti úplatkům a korupci. Zdravotnické zařízení dále prohlašuje a zaručuje, že nebude nabízet, slibovat ani povolovat poskytnutí čehokoliv hodnotného státním zaměstnancům ani nikomu jinému za účelem získání nebo udržení obchodu nebo získání obchodní výhody.

Odměna. a. AbbVie shall pay Institution Provider of Medical Services in accordance with the Study budget attached hereto and incorporated herein as Exhibit A (“Budget Summary and Payment Schedule”). Provider of Medical Services understands and agrees that none of Principal Investigator or subinvestigator(s) will receive any funds from AbbVie in connection with the performance of the Study other than the funds paid to Provider of Medical Services in accordance with Exhibit A. The parties agree that the amount for payments set forth in Exhibit A represents the fair market value for the services to be rendered and has not been determined in any manner that takes into account the volume or value of any referrals or business otherwise generated between Institution Provider of Medical Services and any member of the AbbVie Group. AbbVie hereby agrees, that no other agreement shall be entered into with the Principal Investigator, or any other member of the Study Personnel in connection with this Study. a. Zdravotnické zařízení dále prohlašuje a zaručuje, že nebude nabízet, slibovat Hlavním zkoušejícím ani povolovat poskytnutí čehokoliv hodnotného státním zaměstnancům ani nikomu jinému za účelem získání nebo udržení obchodu nebo získání obchodní výhodyjinou spolupracující osobou žádnou jinou smlouvu.

Odměna. a. For services performed in accordance with the Agreement, AbbVie shall pay Institution the fees set forth in accordance with the Study budget attached hereto and incorporated herein as Exhibit A (“Budget Summary and Payment ScheduleStudy Budget”). The parties agree that the fees set forth in Exhibit A are based on the quantities of the Study procedures required by the EC approved Protocol as of the Effective Date. If a Protocol amendment, as approved by the EC, changes the quantity of existing Study procedures and AbbVie’s payment for the modified quantity of existing Study procedures will not exceed the overall Study Budget, AbbVie will provide Institution with a written notice and pay Institution without requiring an additional written amendment to this Agreement. The parties further agree that the amount for payments set forth in Exhibit A represents the fair market value for the services to be rendered and has not been determined in any manner that takes into account the volume or value of any referrals or business otherwise generated between Institution Institution, Principal Investigator and any member of the AbbVie Group. Strany souhlasí s tím, že částky uvedené v Příloze A vyplývají z počtu Studijních procedur požadovaných Protokolem studie schváleným k Datu účinnosti příslušnými EK. V případě, že dodatek k Protokolu, a to po jeho schválení ze strany EK, bude měnit počet Studijních procedur a skladbu plateb hrazených společností AbbVie v souvislosti se změnou počtu Studijních procedur, nepřekročí celkový Studijní rozpočet, společnost AbbVie zašle Zdravotnickému zařízení písemné oznámení a bude Zdravotnickému zařízení hradit odpovídající částky bez nutnosti uzavírat dodatečný písemný dodatek k této Smlouvě. Smluvní strany dále souhlasí s tím, že částka k výplatě uvedená v Příloze A představuje objektivní tržní hodnotu poskytnutých služeb a nebyla stanovena žádným způsobem, který by bral v potaz objem nebo hodnotu jiných referencí nebo obchodování mezi Zdravotnickým zařízením zařízením, Hlavním zkoušejícím a nějakým členem Skupiny AbbVie. Odměna. AbbVie 9.1 The budget and compensation to be paid for the Clinical Trial is contained in Exhibit B. Payment shall pay Institution be due and payable in accordance with the Study budget attached hereto and incorporated herein as Exhibit A (“Budget Summary and Payment Schedule”). The parties agree that the amount for payments schedule set forth in Exhibit A B. 9.2 The parties acknowledge and agree that the compensation and support provided by Sponsor through its Payment Agent (Clinverse, Inc.) to Institution pursuant to this Agreement represents the fair market value for the research services to be rendered conducted by Institution and Principal Investigator, has been negotiated in an arms-length transaction, and has not been determined in any a manner that takes into account the volume or value of any referrals or other business otherwise generated between Sponsor and Institution and or Principal Investigator. Nothing contained in this Agreement shall be construed in any member manner as an obligation or inducement for the Institution or Principal Investigator to recommend that any person or entity purchase the Sponsor’s products or those of the AbbVie Groupany entity affiliated with Sponsor. Smluvní strany souhlasí s tím, že částka k výplatě uvedená v Příloze A představuje objektivní touto Smlouvou představují přiměřenou tržní hodnotu poskytnutých služeb za výzkumné služby provedené Zdravotnickým zařízením a nebyla stanovena žádným Hlavním zkoušejícím, byly sjednány v transakci za běžných tržních podmínek a nebyly stanoveny způsobem, který by bral v potaz zohledňoval objem nebo hodnotu jakéhokoli doporučování pacientů či jiných referencí nebo obchodování záležitostí jinak probíhajících mezi Zadavatelem a Zdravotnickým zařízením a nějakým členem Skupiny AbbVienebo Hlavním zkoušejícím. Nic v této Smlouvě nelze vykládat žádným způsobem jako povinnost nebo podnět Zdravotnickému zařízení nebo Hlavnímu zkoušejícímu s cílem doporučit, aby jakákoli fyzická nebo právnická osoba nakupovala 9.3 Neither Institution understands and agrees that no Institution Personnel nor Principal Investigator shall bill any third party for any Study Product or other than Principal Investigator, subinvestigator(s), study nurses and study co-ordinator will receive any funds directly from AbbVie items or services furnished by CRO in connection with the performance Clinical Trial, or any services provided to Trial Subjects in connection with the Clinical Trial for which payment is made as part of the StudyClinical Trial. b výrobky Zadavatele nebo výrobky přidružených subjektů Zadavatele. 9.3 Ani Zdravotnické zařízení bere na vědomí a souhlasí s tím, že kromě Hlavního zkoušejícího, spoluzkoušejících, studijních sester a studijní koordinátorky, nikdo z Personálu zdravotnického zařízení nedostane od společnosti AbbVie ani Hlavní zkoušející nebudou účtovat jakékoli třetí straně za žádné Hodnocené produkty nebo jiné předměty nebo služby dodané Smluvní výzkumnou organizací v souvislosti s prováděním Studie vyplaceny přímo Klinickým hodnocením ani za žádné prostředky. c Institution represents and warrants that it is now in compliance withslužby poskytované Pacientům v souvislosti s Klinickým hodnocením, and undertakes that in performance of its obligations under this Agreement, it shall continue to comply with, all applicable Laws, regulations and industry codes of practice, including those related to anti-bribery and anti-corruption. Institution further represents and warrants that it will not offer, promise or authorize the giving of anything of value to a government official or other person to obtain or retain business or gain a business advantage. Zdravotnické zařízení dále prohlašuje a zaručuje, že nebude nabízet, slibovat ani povolovat poskytnutí čehokoliv hodnotného státním zaměstnancům ani nikomu jinému za účelem získání nebo udržení obchodu nebo získání obchodní výhodyněž se provádí platba jako součást Klinického hodnocení.
