Office Space and Clerical Assistance. If at any time or time during the Term the Company and the Consultant mutually agree and consider that he Consultant, in connection with the provision of any of the Services, should be provided with office space, business equipment, or clerical assistance then the Company shall provide the Consultant with such office space, business equipment, or such clerical assistance as the Company considers necessary for such period or periods of time. All of the Company’s business equipment shall be at all times kept at the Company’s premises unless the Consultant is given express permission to remove it from the Company’s premises.
Office Space and Clerical Assistance. (a) During a reasonable period of time from and after the Effective Date, the exact length of which shall be agreed upon by the Executive and the Chairman and Chief Executive Officer of the Company (the "Office Period"), the Company shall continue to provide the Executive with office space, office furnishings and related office support (e.g., telephone, personal computer, network connectivity, fax machine, mail service, etc.) in the Company's offices on the forty-third floor of 000 Xxxx 00xx Xxxxxx in New York City, such office space, furnishings and support to remain unchanged from that provided to the Executive immediately prior to the Effective Date for a period of 30 days after the Effective Date, and thereafter such office space, furnishings and support to be appropriate in view of the Executive's reduced role at the Company. Notwithstanding the foregoing sentence, the Company may at any time, upon not less than 30 days prior written notice to the Executive, terminate the Office Period and the Company's obligation to provide office space, office furnishings and related office support to the Executive. (b) During the Office Period, the Company shall continue to provide the Executive with a level of administrative and clerical support which is reasonably comparable to that enjoyed by the Executive immediately prior to the Effective Date, including, without limitation, the same number of administrative and clerical personnel.

  • Technical Assistance DFPS may provide informal support, guidance, clarification, and other forms of technical assistance via phone, email, and virtual meeting to resolve Grant or performance compliance issues. Grantee will document all such instances of technical assistance by DFPS in writing, including any implementation work.

  • Legal Assistance The Board shall give full support including legal and other assistance for any assault upon the employee while properly acting in the discharge of his/her duties.

  • Directory Assistance 72.1 The Parties acknowledge that CenturyLink is not a Directory Assistance (DA) provider. CenturyLink provides directory listings information for its subscribers to third party DA providers to be included in the national and local databases used by such third party providers. The Parties agree that to the extent the DA provider contracted by CLEC for DA services to CLEC’s subscribers also populates the national DA database, then CLEC’s DA listings have been made available to CenturyLink’s subscribers and no further effort is needed by either Party. If for any reason, CLEC desires that CenturyLink act as a middleman conduit for the placement of CLEC’s DA listings in the DA database(s), then CenturyLink shall provide such compensable DA listings service pursuant to separate written terms and conditions between CenturyLink and CLEC which will be attached to this Agreement as an Amendment.

  • Mutual Assistance The Parties will do all things reasonably necessary or appropriate to carry out the terms and provisions of this Agreement and to aid and assist each other in carrying out such terms and provisions.

  • Office Space and Facilities The Adviser will arrange to furnish the Trust office space in the offices of the Adviser, or in such other place or places as may be agreed upon from time to time, and all necessary office facilities, simple business equipment, supplies, utilities and telephone service required for managing the investments of the Trust.
