Officers Chairman of the Board. The Trustees shall, from time to time, elect officers of the Trust including a President, a Secretary and a Treasurer. The Trustees shall elect or appoint, from time to time, a Trustee to act as Chairman of the Board who shall preside at all meetings of the Trustees and carry out such other duties as the Trustees shall designate. The Trustees may elect or appoint or authorize the President to appoint such other officers or agents with such powers as the Trustees may deem to be advisable. The President, Secretary and Treasurer may, but need not, be a Trustee. The Chairman of the Board and such officers of the Trust shall serve in such capacity for such time and with such duties, power and authority as the Trustees may, in their discretion, so designate or as provided in the By-Laws.

Officers Chairman of the Board. The initial Chairman of the Board, Chief Executive Officer, President (if applicable), Chief Financial Officer, Chief Technology Officer, Chief Operating Officer, Chief Information Officer, Chief Strategy Officer and General Counsel of the Company will be as set forth on Exhibit B. Unless the Board of Directors provides otherwise, each committee designated by the Board of Directors may make, alter and repeal rules and procedures for the conduct of its business. In the absence of such rules and procedures each committee shall conduct its business in the same manner as the Board of Directors conducts its business pursuant to this Article III.
