Officers of the Trust. The Manager shall, at its own expense, provide employees of the Manager to serve as officers of the Trust as the Board of Trustees may request. The Manager and the Board of Trustees may from time to time agree that the expense of certain officers of the Trust who may also be employees of the Manager, including without limitation the Chief Compliance Officer of the Trust and any Assistant Chief Compliance Officers, will be borne in part by the Trust and in part by the Manager or entirely by the Trust.

Officers of the Trust. The officers of the Trust shall consist of a President, a Treasurer and a Secretary, and may include a Controller and one or more Vice Presidents, Assistant Treasurers and Assistant Secretaries, and such other officers as the Trustees may designate. Any person may hold more than one office.
Officers of the Trust. (a) The Managing Owner may, but is not obligated to, appoint officers of the Trust, who shall be agents of the Trust with such titles and duties as the Managing Owner shall specify. Any number of offices may be held by the same person. (b) The officers of the Trust shall be appointed by the Managing Owner, and each shall serve at the pleasure of the Managing Owner, subject to the rights, if any, an officer may have under any contract of employment. (c) Subject to the rights, if any, of an officer under any contract of employment, any officer may be removed, either with or without cause, by the Managing Owner. Any officer may resign at any time by giving written notice to the Managing Owner. Any resignation shall take effect at the date of the receipt of that notice or at any later time specified in that notice; and unless otherwise specified in that notice, the acceptance of the resignation shall not be necessary to make it effective. Any resignation is without prejudice to the rights, if any, of the Trust under any contract to which the officer is a party. (d) Subject to the supervision and oversight of the Managing Owner, the officers of the Trust are delegated the authority to act on behalf of the Trust consistent with the parameters and powers of their position as outlined from time to time by the Managing Owner, including to prepare, negotiate, deliver and execute documents, agreements, plans, registration statements, any and all applications for exemptive orders, and any amendments or supplements thereto, that the officers or any of them believe, with advice of counsel, are necessary or desirable for the Trust.

One person may hold two or more offices. Any officer of the Trust may, but need not, be a Trustee. Each of the Chairman and the Honorary Chairman, if not a Trustee, shall be entitled to receive notice of and attend all meetings of the Trustees but, unless he/she is a Trustee, neither the Chairman nor the Honorary Chairman shall be entitled to vote at any such meeting. Officers of the Trust shall be appointed and discharged and their remuneration determined by the Trustees.

Subject to the other provisions of this Declaration of Trust, each officer shall have, in addition to the duties and powers herein set forth, such duties and powers as are commonly incident to the office occupied by him or her as if the Trust were organized as a Delaware business corporation and such other duties and powers as the Trustees may from time to time designate. The Chief Executive Officer of the Trust will be a principal executive officer of the Trust. Unless the Trustees otherwise provide, the President, or in the absence of the President, any Trustee chosen by the Trustees, shall preside at all meetings of the shareholders and of the Trustees. The President shall have such other duties and powers as may be designated from time to time by the Trustees or by the Chief Executive Officer. The chief financial officer shall have the responsibilities and duties as set forth by the Board or the chief executive officer. The Treasurer shall be the chief financial and accounting officer of the Trust, and shall, subject to any arrangement made by the Trustees with a custodian, investment adviser or manager, or transfer, shareholder servicing or similar agent, be in charge of the valuable papers, books of account and accounting records of the Trust, and shall have such other duties and powers as may be designated from time to time by the Trustees or by any officer of the Trust. Officers of the Trust. The officers of the Trust shall be a Chairman chosen from among the Trustees and a President, a Secretary and a Treasurer or persons who shall act as such regardless of the name or title by which they may be designated, elected or appointed. One or more Vice- Presidents, one or more Assistant Secretaries and Assistant Treasurers, and such other officers or agents as the Trustee - shall deem necessary or appropriate to carry out the business of the Trust also may be elected or appointed. Any two or more offices may be held by the same person, except those of President and Secretary and provided that no officer shall execute, acknowledge or verify any instrument in more than one capacity if such instrument is required to be executed, acknowledged or verified by two or more officers. In addition to the powers and duties prescribed by the Declaration and these By-laws, the officers and assistant officers shall have such authority and shall perform such duties as from time to time shall be prescribed by the Trustees. The officers and assistant officers of the Trust shall hold office until their successors are chosen and have qualified, unless their term of office is sooner terminated, by death, resignation or removal. The Trustees may amend the title of any officer or assistant officer or create a new office, by utilizing a word or words descriptive of his or her powers or the general character of his or her duties. If the office of any officer or assistant officer becomes vacant for any reason, the vacancy may be filled by the Trustees at any time.
