Official deed. The Parties agree to pass the official sale deed of the Going Concern on the Effectiveness Date as hereinafter defined in front of a notary chosen by the Parties, being it understood that such official deed shall merely reflect the covenants hereof of the Parties in relation to the transfer of the Going Concern, without any amendments being added thereto.

Official deed. The parties shall have this sale registered as an authentic instrument within 4 months hereof on the date fixed following a proposal made by the notary drawing up the deed. The parties are aware that each of them is entitled to choose their own notary (at no extra cost, provided that this choice is notified within eight calendar days following signature of the sale agreement), and they have appointed either Maître Xxxxxxxx XXXXXXXX or Maître Xxxxxx XXXXX, being notaries in partnership in Namur, as their notaries to draw up the official deed.

Representatives shall be responsible for the performance of their work load consistent with release time approved pursuant to rules established herein.

  • Official Statement So long as any Bond Letter of Credit shall remain outstanding, refer to the applicable LC Issuing Bank in the Official Statement with respect to the applicable Bonds or make any changes in reference to such LC Issuing Bank in any revision, amendment or supplement without the prior consent of such LC Issuing Bank, or revise, amend or supplement such Official Statement without providing a copy of such revision, amendment or supplement, as the case may be, to such LC Issuing Bank.

  • Authorised Signatory An authorised signatory is required to sign this Data Sharing Agreement after all recommendations made by the Data Governance Board have been addressed and before the Data Sharing Agreement can be executed. This signatory has the role of accountability for the data sharing defined in this Data Sharing Agreement and holds the post of Principal Officer (equivalent) or above. The Parties hereby agree to their obligations pursuant to this Data Sharing Agreement for the transfer of personal data as described in this Data Sharing Agreement.
