Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter shall have received the favorable opinion, dated the Closing Time, of Xxxxxxx Xxxx & Xxxxxxxxx LLP, counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably request.
Opinion of Counsel for the Selling Shareholder. If requested by the Underwriters, the favorable opinion of Xxxxxxxx & Xxxxx LLP, counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(b) hereof.
Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Representatives shall have received the favorable opinion as to matters of English law, dated the Closing Time, of Skadden, Arps, Slate, Xxxxxxx & Xxxx (UK) LLP, counsel for the Selling Shareholder, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit B hereto.
Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Representatives shall be received the opinion, dated the Closing Time, of Xxxxxxxx & Xxxxx LLP, counsel for the Selling Shareholder, in the form set forth on Exhibit C hereto.
Opinion of Counsel for the Selling Shareholder. Hxxxxxx Xxxxx LLP, U.K. counsel for the Selling Shareholder, shall have furnished to the Representatives, at the request of the Selling Shareholder, their written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C hereto.
Opinion of Counsel for the Selling Shareholder. On each of the First Closing Date and each Option Closing Date the Representatives shall have received the opinion of Xxxxxx & Xxxxxx LLP, counsel for the Selling Shareholder, dated as of such Closing Date, the form of which is attached as Exhibit B (and the Representatives shall have received an additional three conformed copies of such counsel’s legal opinion for each of the several Underwriters).
Opinion of Counsel for the Selling Shareholder. If requested by the Representatives, the favorable opinion of Proskauer Rose LLP, counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinion of Counsel for the Selling Shareholder. If requested by the Representatives, the favorable opinion of Skadden, Arps, Slate, Xxxxxxx & Xxxx (UK) LLP as to matters of English law, counsel for the Selling Shareholder, in substantially the same form as the opinion required by Section 5(c) hereof.
Opinion of Counsel for the Selling Shareholder. Xxxxx & Xxxxxxx, A Professional Corporation, counsel for the Selling Shareholder, shall have furnished to the Representatives, at the request of the Selling Shareholder, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C hereto.

If requested by the Representatives, the opinion of Xxxxxxxx & Xxxxx LLP, counsel for the Selling Shareholder, in the form attached hereto as Exhibit C, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
