Opinion of Irish Counsel for the Company. If requested by the Representatives, the opinion of A&L Goodbody, Irish counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be subscribed for on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(f) hereof.
Opinion of Irish Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Xxxxxx Xxx, local counsel for the Company, in form and substance satisfactory to the Representatives, dated as of such date.
Opinion of Irish Counsel for the Company. A&L Goodbody, Irish counsel for the Company and the Parent Guarantor, shall have furnished to the Representatives, at the request of the Company and the Parent Guarantor, their written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.
Opinion of Irish Counsel for the Company. The Purchaser shall have received from Xxxxxxxx, Irish counsel to the Company, an opinion addressed to it in a form customary for transactions of this type dated as of the Closing.
Opinion of Irish Counsel for the Company. Dentons, Irish counsel to the Company, shall have furnished to the Representatives such counsel’s written opinion, addressed to the Underwriters and dated such Closing Date, in form and substance reasonably satisfactory to the Representatives.
Opinion of Irish Counsel for the Company. On the Closing Date and any Subsequent Closing Date, the Representatives shall have received the opinion of BCM Xxxxx Xxxxxxx, Solicitors, counsel for the Company, dated as of such Closing Date, the form of which is attached as Exhibit G.
