Opinion of Special Regulatory Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Kxxxxx and Hxxxxxx LLP, special regulatory counsel for the Company, dated the Closing Date and addressed to the Representative, in a form reasonably acceptable to the Representative
Opinion of Special Regulatory Counsel for the Company. At Closing Time, the Representatives shall have received an opinion, dated as of Closing Time, of Hxxxx, Pxxxxx & MxXxxxxx, P.C., special regulatory counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit B hereto, and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of Special Regulatory Counsel for the Company. On each of the Closing Date and the Subsequent Closing Date, the Representatives shall have received the opinion of Xxxxxx Xxxxxxx, special foreign regulatory counsel for the Company, dated as of such closing date, the form of which is attached as Exhibit B (and the Representatives shall have received an additional three conformed copies of such counsel’s legal opinion for each of the several Underwriters).
Opinion of Special Regulatory Counsel for the Company. On each of the First Closing Date and the Second Closing Date the Representatives shall have received the opinion of (i) King & Spalding LLP, special U.S. regulatory counsel for the Company, dated as of such closing date, the form of which is attached as Exhibit B-1 (and the Representatives shall have received an additional two conformed copies of such counsel’s legal opinion for each of the several Underwriters) and (ii)Xxxxxx Xxxxxxx, special foreign regulatory counsel for the Company, dated as of such closing date, the form of which is attached as Exhibit B(2) (and the Representatives shall have received an additional two conformed copies of such counsel’s legal opinion for each of the several Underwriters).
Opinion of Special Regulatory Counsel for the Company. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Xxxxxxxxx & Xxxxxxx LLP, special regulatory counsel for the Company, in form and substance satisfactory to counsel for the Initial Purchasers, together with signed or reproduced copies of such letter for each of the other Initial Purchasers to the effect set forth in Exhibit D hereto and to such further effect as counsel to the Initial Purchasers may reasonably request.
Opinion of Special Regulatory Counsel for the Company. Fulbright & Xxxxxxxx LLP, special federal healthcare regulatory counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Optional Closing Date, as the case may be, to the effect set forth in Annex F hereto.
Opinion of Special Regulatory Counsel for the Company. If requested by the Representatives, the written opinion of XxXxxxx Xxxxx LLP, special regulatory counsel for the Company, in form and substance as previously agreed to by counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinion of Special Regulatory Counsel for the Company. On each of the First Closing Date and the Second Closing Date the Representatives shall have received the opinion of Covington & Burling, special regulatory counsel for the Company, dated xx xx xxch Xxxxxxx Date, the form of which is attached as Exhibit B (and the Representatives shall have received an additional three conformed copies of such counsel's legal opinion for each of the several Underwriters).
Opinion of Special Regulatory Counsel for the Company. On each of the First Closing Date and the Second Closing Date, the Representatives shall have received the favorable opinion of Drinker Xxxxxx & Xxxxx LLP, special regulatory counsel for the Company, dated as of such Closing Date, the form of which is attached as Exhibit B (and the Representatives shall have received an additional . conformed copies of such counsel's legal opinion for each of the several Underwriters).
