Opinions of Counsel to the Borrowers. Lender shall have received legal opinions of Borrowers’ counsel reasonably satisfactory to Lender (i) with respect to the non-consolidation of each Borrower in the event of an insolvency proceeding being brought against, or the bankruptcy of certain Beneficial owners of such Borrower, (ii) with respect to due execution, delivery, authority, and enforceability of this Agreement, each Pledge and each of the other Loan Documents and perfection of the Lien on the Pledged Interests and (ii) with respect to each Borrower’s continued existence as a limited liability company under the laws of the State of Delaware and such other matters as Lender may require, all such opinions in form, scope and substance satisfactory to Lender and Lender’s counsel in their sole discretion.

Opinions of Counsel to the Borrowers. The Lenders and their respective counsel shall have received (i) originally executed copies of one or more favorable written opinions of Pxxx, Weiss, Rifkind, Wxxxxxx & Gxxxxxxx, counsel for the Borrowers, and (ii) originally executed copies of one or more favorable written opinions of Lxxxxx Xxxxxx & Cxxxxxx, Nevada counsel for the Borrowers, each in form and substance reasonably satisfactory to the Administrative Agent and its counsel, dated as of the Closing Date and setting forth substantially the matters in the opinions designated in Exhibits F-1 and F-2 hereto, respectively, and as to such other matters as the Administrative Agent may reasonably request. The Borrowers hereby acknowledge and confirm that they have requested such counsel to deliver such opinions to the Lenders.
Opinions of Counsel to the Borrowers the Property Manager each Guarantor and the Sponsor. The Agent and each of the Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions of Wick Xxxxxxxx, LLP, counsel for the Borrowers, the Guarantors, the Property Manager and Sponsor as to such matters as the Agent or any of the Lenders may reasonably request, dated as of the Effective Date and otherwise in form and substance reasonably satisfactory to the Agent and each of the Lenders (and each of the Borrowers hereby instructs such counsel to deliver such opinions to the Agent and each of the Lenders).
Opinions of Counsel to the Borrowers. The receipt by the Lender of an opinion, dated the Closing Date, of (i) Cameron & Mittleman LLP, counsel to the Borrowers and Guarantors, covxxxxx xuch xxxxxxx as the Lender may reasonably request and (ii) local counsel to the Borrowers in the jurisdictions where the Real Property is located, covering such matters as Lender may reasonably request.
Opinions of Counsel to the Borrowers. An opinion of (1) Paul, Hastings, Janoxxxx & Xalkxx xxx (2) Cole Raywid & Bravxxxxx xx form and substance reasonably satisfactory to counsel to the Documentation Agent. The Borrowers hereby expressly instruct each such counsel to prepare its opinion and deliver it to the Documentation Agent, each Arranging Agent, each Managing Agent, the Administrative Agent and the Banks for their respective benefits and each such opinion shall contain a statement to that effect.

The Borrowers hereby acknowledge and confirm that they have requested such counsel to deliver such opinions to Lenders.
Opinions of Counsel to the Borrowers. The Administrative Agent shall have received favorable written opinions (each addressed to the Administrative Agent and the Lenders and dated the Effective Date) of (i) Wachtell, Lipton, Xxxxx & Xxxx, special counsel for the Borrowers, (ii) internal counsel for NYSE Euronext and (iii) Xxxxxx N.V, Dutch counsel for Euronext, in each case, in form and substance reasonably satisfactory to the Administrative Agent (and the Borrowers hereby instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).

  • Opinions of Counsel to Loan Parties Lenders shall have received executed copies of one or more favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for Loan Parties and (ii) general counsel to Company, each dated as of the Closing Date and reasonably satisfactory to Administrative Agent and as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).
