Optional Prepayments; Prepayment Premium. (a) Subject to the terms of this Section 2.4, the Issuer may prepay the Notes on any Business Day in an aggregate minimum principal amount of $5,000,000 and in integral multiples of $1,000,000 in excess of $5,000,000 or, in each case such lesser amount as is then outstanding, at any time upon five (5) Business Days’ prior written notice given to the Purchasers and the Agent by 12:00 noon (New York City time). Any prepayment of the Notes pursuant to this Section 2.4(a) shall be accompanied by all accrued and unpaid interest on the principal amount so repaid, if any. Any such prepayment pursuant to this Section 2.4(a) shall be applied to the remaining scheduled installments of principal on the Notes pursuant to Section 2.3 in a manner determined at the discretion of the Issuer and specified in the notice of prepayment (and absent such direction, in direct order of maturity).

Optional Prepayments; Prepayment Premium. Borrowers may from time to time, on at least five (5) Business Days' prior delivery to Agent of written notice, prepay the Term Loans at any time, in part or, subject to the terms and provisions of Section 3.3(a), in whole; provided that (i) any such partial prepayment shall be in an amount equal to $500,000 or a higher integral multiple of $250,000 (other than in the case of a prepayment in full of the Term Loans), (ii) on the date of any such prepayment, there shall be due and payable (x) accrued interest on the principal so prepaid to the date of such prepayment, and (y) a Prepayment Premium with respect to the amount of the Term Loans prepaid and the amount of the Delayed Draw Term Loan Commitment terminated.

Each such notice shall be irrevocable (provided that such notice (x) may be conditioned upon the happening of an event, in which case, such notice may be revoked to the extent that such event does not occur and (y) may be modified to extend the proposed date of such prepayment specified therein) and shall specify the proposed date of such prepayment and the principal amount of the Notes to be prepaid. If such notice is given, the aggregate amount specified in such notice shall be due and payable on the date designated in such notice, together with accrued interest to such date on the principal amount so prepaid in accordance with Section 2.10(d); provided that if a Eurodollar Note is prepaid on a date other than the last day of an Interest Period applicable thereto, the Issuer shall also pay all amounts required pursuant to Section 2.16. Each partial prepayment of the Notes shall be in a minimum principal amount of $5,000,000 and in increments of $1,000,000 in excess thereof. Each prepayment of the Notes shall be applied in accordance with Section 2.9(d).

If such notice is given, the aggregate amount specified in such notice shall be due and payable on the date designated in such notice, together with accrued interest to such date on the principal amount so prepaid in accordance with Section 2.13(d); provided that if a Eurodollar Borrowing is prepaid on a date other than the last day of an Interest Period applicable thereto, the Borrower shall also pay all amounts required pursuant to Section 2.19. Each partial prepayment of any Loan shall be in an amount that would be permitted in the case of an advance of a Revolving Borrowing of the same Type pursuant to Section 2.2 or, in the case of a Swingline Loan, pursuant to Section 2.4. Each prepayment of a Borrowing shall be applied as directed by the Borrower; provided that any prepayment of a Term B Loan Borrowing may be applied in direct order of maturity to no more than eight (8) principal installments of the Term B Loans that are scheduled to occur in the twenty-four month period following such prepayment and, thereafter, such prepayment shall be applied to all remaining scheduled principal installments of the Term B Loans on a pro rata basis.   • Optional Prepayment of Term Loans The Borrower may at any time and from time to time prepay the Tranche B-1 Term Loans, the Tranche B-2 Term Loans and/or any other Term Loans of any Class, in whole or in part, without premium or penalty (except as provided in Section 2.21 and subject to Section 2.13), in an aggregate principal amount, (1) in the case of Eurocurrency Loans, that is an integral multiple of $1.0 million and not less than $5.0 million, and (2) in the case of ABR Loans, that is an integral multiple of $1.0 million and not less than $5.0 million, or, in each case, if less, the amount outstanding. The Borrower will notify the Administrative Agent by telephone (confirmed by hand delivery, facsimile transmission or e-mail) of such election not later than 11:00 a.m., New York City time, (a) in the case of a Eurocurrency Borrowing, three Business Days before the anticipated date of such prepayment and (b) in the case of an ABR Borrowing, one Business Day before the anticipated date of such prepayment. Each such notice of prepayment will specify the prepayment date and the principal amount of each Borrowing (or portion thereof) to be prepaid. All prepayments under this Section 2.07 will be accompanied by accrued and unpaid interest on the principal amount to be prepaid to but excluding the date of payment. Any such notice may be revocable or conditioned on a refinancing of all or any portion of the Term Facility. Any optional prepayments of Tranche B-1 Term Loans, Tranche B-2 Term Loans and/or other Term Loans of any Class pursuant to this Section 2.07 will be applied to the remaining scheduled amortization payments of such applicable Class of Term Loans as directed by the Borrower (or in the absence of such direction, in direct order of maturity, to the amortization payments of such applicable Class of Term Loans) and will be applied ratably to the Term Loans of such Class included in the prepaid Borrowing.

  • All Prepayments Except as this Agreement may specifically provide otherwise, all prepayments of the Term Loan shall be applied by Agent to the Obligations in inverse order of maturity. The monthly payments required under Schedule 2.1 shall continue in the same amount (for so long as the Term Loan and/or (if applicable) any advance thereunder shall remain outstanding) notwithstanding any partial prepayment, whether mandatory or optional, of the Term Loan. Notwithstanding anything to the contrary contained in the foregoing, in the event that there have been multiple advances under the Term Loan each of which such advances has a separate amortization schedule of principal payments under Schedule 2.1 attached hereto, each prepayment of the Term Loan shall be applied by Agent to reduce and prepay the principal balance of the earliest-made advance then outstanding in the inverse order of maturity of the scheduled payments with respect to such advance until such earliest-made advance is paid in full (and to the extent the total amount of any such partial prepayment shall exceed the outstanding principal balance of such earliest-made advance, the remainder of such prepayment shall be applied successively to the remaining advances under the Term Loan in the direct order of the respective advance dates in the manner provided for in this sentence).
