OTC Electronic Bulletin Board. The Common Stock of Biogan is quoted for trading on the National Association of Securities Dealers ("NASD") OTC Electronic Bulletin Board (the "OTC Bulletin Board") and (a) Biogan and the Common Stock meet the criteria for continued trading on the OTC Bulletin Board, (b) Biogan has not been notified by the NASD of any failure or potential failure to meet the criteria for continued trading on the OTC Bulletin Board, and (c) no suspension of trading in the Common Stock is in effect.

  • OTC Bulletin Board None of the Shares are listed on any stock exchange or automated dealer quotation system and no representation has been made to the Investor that any of the Shares will become listed on any stock exchange or automated dealer quotation system, except that currently market makers make a market for the Company's common shares on the NASD's OTC Bulletin Board.

  • Bulletin Board The Company is not in violation of the listing requirements of the O.T.C. Bulletin Board and does not reasonably anticipate that the Common Stock will be delisted by the O.T.C. ("NASD") is contemplating terminating such registration or listing.

  • Nasdaq National Market Listing Parent shall authorize for listing on the Nasdaq National Market the shares of Parent Common Stock issuable, and those required to be reserved for issuance, in connection with the Merger, upon official notice of issuance.
