Other Agreements and Restrictions. There is no term of any contract, bond, note, indenture, or other agreement or of any charter or other corporate restriction or of any judgment, decree, order, statute, rule or regulation which materially and adversely limits the business, operations, or affairs, as presently conducted, of Borrower or its assets, and Borrower is not now in violation of any such term; and the execution, delivery and performance of, and compliance with, the Loan Documents will not (with or without the giving of notice of lapse of time, or both) result in any violations of, or be in conflict with, or constitute a default under, any such term, or result in the creation of any Liens upon any of the assets of Borrower, except for the Liens created pursuant to this Agreement. The operations of Borrower complies with all laws, statutes, rules, regulations, ordinances, and the like, applicable to it.

Other Agreements and Restrictions. This Agreement does not and will not be construed to limit or impair the rights of the Company under any other agreement or understanding with Stockholder, now in effect or arising hereafter. The restrictions on transfer of the Shares set forth in this Agreement are in addition to any other restrictions on transfer of the Shares, including restrictions arising under contract and applicable securities laws.

Other Agreements and Restrictions. This Lease is subject to all easements, encroachments, covenants, restrictions of record, and restrictions not shown of record, and any other title encumbrances or defects affecting the Property (collectively "Restrictions"). The Lessee shall construct the Initial Improvements and any Subsequent Improvements so as not to violate any Restrictions. Xxxxxx acknowledges that the Lessor has not performed any title or survey work in connection with this Lease and agrees that it is Xxxxxx's sole responsibility and obligation to confirm that the Initial Improvements and the provision of any utility services to the Premises does not interfere with any Restrictions.
