Other Property Rights. (a) Seller's interest as landlord in the lease for the tenant of the Real Property on the Closing Date (as defined in Section 6.1) as listed on Exhibit M (herein the "LEASE"); and (b) if and to the extent assignable by Seller without any expense to Seller, (i) all service, supply, maintenance, utility and commission agreements, all equipment leases, and all contracts, subcontracts and agreements relating to the construction of any unfinished tenant improvements and any additional service, supply, maintenance or utility contracts entered into in accordance with the terms of Subsection 9.2.1 hereof (all of the foregoing being herein collectively called the "CONTRACTS"), and (ii) all licenses, permits and other written authorizations necessary for the use, operation or ownership of the Real Property or Personal Property (the rights and interests of Seller described in clauses (a) through (b) hereinabove being herein collectively called the "OTHER PROPERTY RIGHTS").

Other Property Rights. All easements, leasehold, and other property interests, all utility and other services (including gas, electrical, telephone, water and sewage services and facilities), means of transportation, facilities, other materials and other rights that are reasonably necessary for the operation of the Mortgaged Property in accordance with applicable requirements of law have been procured or are commercially available to the Mortgaged Property at commercially reasonable rates and, to the extent appropriate, arrangements have been made on commercially reasonable terms for such easements, interests, services, means of transportation, facilities, materials, and rights. The Land is taxed separately without regard to any other property and has been subdivided from all other property in compliance with applicable laws. No subdivision or other approval is necessary with respect to the Premises in order for Grantor to mortgage, convey, or otherwise deal with the Premises as a separate lot or parcel.
Other Property Rights. If the quoted price of the goods is stated to include special dies, molds, tools, and patterns used in the manufacture of such goods, then the same shall be and becomes the property of the Purchaser. Such property found in the Seller's custody or control shall be maintained in good condition and shall be held at the Seller's risk. No dies, molds, tools, patterns or drawings supplied to the Seller by or otherwise belonging to the Purchaser shall be used in the production, manufacture or design of any goods other than those specified in this Order, except with the express written consent of the Purchaser nor shall the same be furnished or quoted to any other person(s). Such property shall be removed at the Purchaser's written demand in which event the Seller shall immediately re-deliver the same to the Purchaser in the same condition as originally received by the Seller, reasonable wear and tear excepted.

Tangible Personal Property and Other Property Rights shall not include (i) all cash on hand or on deposit in any bank, operating account or other account maintained in connection with the ownership, operation or management of the Property, cash equivalents (including certificates of deposit), deposits held by third parties (e.g., utility companies) and bank accounts, (ii) all insurance policies maintained in connection with the ownership, operation or management of the Property, (iii) any appraisals or other economic evaluations of, or projections with respect to, all or any portion of the Property, including, without limitation, budgets prepared by or on behalf of Seller or any affiliate of Seller, (iv) any documents, materials or information which are subject to attorney/client, work product or similar privilege, which constitute attorney communications with respect to the Property and/or Seller, or which are subject to a confidentiality agreement, and (v) any documents pertaining solely to the marketing of the Property and any direct or indirect interest therein for sale to prospective purchasers.
