Other Rights Not Affected. The indemnification rights of the parties under this Article X are independent of, and in addition to, such rights and remedies as the parties may have at Law or in equity or otherwise for any misrepresentation, breach of warranty or failure to fulfill any covenant, agreement or obligation hereunder on the part of any party hereto, including the right to seek specific performance, rescission or restitution, none of which rights or remedies shall be affected or diminished hereby.
Other Rights Not Affected. The postponement and subordination provided for in this Agreement is in addition to and not in substitution for or limitation of any other agreement, right or other security by whomsoever given or at any time held by or for the benefit of any of the Senior Creditors in respect of the Senior Indebtedness, and nothing in this Agreement shall limit or prejudice any of the contractual, common law or other rights of the Senior Creditors or the contractual, common law or other priority of the Senior Indebtedness insofar as such rights or priority arises or exists outside of this Agreement.
Other Rights Not Affected. A termination of employment by the Surviving Entity or by the Executive will not affect any rights that the Executive or the Executive’s dependents may have pursuant to any agreement, policy, plan, program or arrangement of the Surviving Entity providing Employee Benefits, which rights shall be governed by the terms thereof.
Other Rights Not Affected. Notwithstanding any provision in this ------------------------- Article V to the contrary, nothing in this Article V shall limit any right of the Company to repurchase any shares from a Founder or employee which have not yet vested pursuant to the terms of any other agreement between the Company and such Founder or employee.
Other Rights Not Affected. The Executive's right to receive payment under this Agreement shall not decrease the amount of, or otherwise adversely affect, any other benefits payable to the Executive under any plan, agreement, or arrangement relating to employee benefits provided by the Company.
Other Rights Not Affected. The lapse of rights under Section 17.1 with respect to any particular Change of Control shall not limit the entitlement of the Employee to benefits becoming due and payable with in twenty-four (24) months next following any subsequently Change of Control.
Other Rights Not Affected. A party’s right to require payment of interest does not affect any other rights or remedies it may have in respect of a failure to pay an amount due under this Agreement.
Other Rights Not Affected. Council’s rights under clause 10 do not in any way change or affect the Supplier’s obligations under this Contract or affect Council’s rights to claim for any damage or Loss Council may suffer because of the Supplier’s failure to fulfil its obligations under this Contract or to exercise other rights under this Contract, including under clause 23.
Other Rights Not Affected. The rights and remedies provided in this Section 11 will not be exclusive and are in addition to any other rights and remedies provided by law or this Agreement.
Other Rights Not Affected. The enumeration of certain rights or liabilities of the parties effective upon termination of Employee's employment shall not affect any rights or remedies of a party at law or in equity for any breach of this Agreement by the other party. In addition, upon any termination of Employee's employment, including by reason of Employee's death, Employer may accelerate, offset and withhold from any amounts due to Employee or his beneficiary or personal representative any indebtedness of Employee to Employer existing at the effective date of termination.
