Outsourcing of Processing of Development Applications. The City currently reviews the planning part of an application internally, but the engineering review is outsourced. Both the City and Holdings recognize that at some future date the City may review all parts of a Development Application internally. Within fifteen (15) business days after receipt of a Development Application and upon the request of either the Applicant or the City, the Applicant and the City shall confer and determine whether the City and/or the Applicant wishes the City to outsource the review of any aspect of the Development Application to ensure that it is processed in accordance with the Review Schedule set forth in attached Exhibit H. If the City determines that Outsourcing is appropriate to meet the timeline outlined in Exhibit H, the City shall outsource the review. The City will promptly estimate the reasonably anticipated differential cost of Outsourcing in the manner selected by the City in good faith consultation with Applicant as applicable (either overtime to City employees or the hiring of a City Consultant). If an Applicant notifies the City that it desires to proceed with the Outsourcing based on the City’s estimate of costs, the Applicant shall deposit in advance with the City the estimated differential cost and the City shall then promptly precede with the Outsourced work. Upon completion of the Outsourcing services and the provision by the City of an invoice (with such reasonable supporting documentation as may be requested by the Applicant for the actual differential cost (whether by way of paying a City Consultant or paying overtime to City employees) of Outsourcing, the Applicant shall, within thirty (30) business days, pay or receive credit (as the case may be) for any difference between the estimated differential cost deposited for the Outsourcing and the actual cost differential.

  • Notification of Modifications of Licensed Materials From time to time Publisher may add, change, or modify portions of the Licensed Materials, or migrate the Licensed Materials to other formats. When such changes, modifications, or migrations occur, the Licensor shall give notice of any such changes to Licensee as soon as is practicable, but in no event less than sixty (60) days in advance of modification. Such a notice may also be given directly by the Publisher to the Licensee. If any of the changes, modifications, or migrations renders the Licensed Materials substantially less useful to the Licensee, the Participating Institutions or their Authorized Users, the Licensee may seek to terminate this Agreement for breach pursuant to the termination provisions of this Agreement in Section XI, below.

Further, additional related sales information and/or detailed Authorized User purchases may be required by OGS and must be supplied upon request. SERVICE REPORTS FOR MAINTENANCE/SUPPORT AND WARRANTY WORK Service Reports for Authorized User An Authorized User in an RFQ may require compliance with any or all of this section. If requested by the Authorized User, the Contractor shall furnish the Authorized User with service reports for all Maintenance/support and warranty work upon completion of the services. The service reports may include the following information in either electronic or hard copy form as designated by the Authorized User:  Date and time Contractor was notified  Date and time of Contractor’s arrival  Make and model of the Product  Description of malfunction reported by Authorized User  Diagnosis of failure and/or work performed by Contractor  Date and time failure was corrected by Contractor  Type of service – Maintenance/support or warranty  Charges, if any, for the service Service Reports for OGS

  • Duration of Processing The Parties will Process Shared Personal Data during the Term of the underlying RRA to which this this Data Processing Addendum is applicable, but will abide by the terms of this Data Processing Addendum for the duration of the Processing if in excess of that term, and unless otherwise agreed upon in writing.
