Owner, Manager. Owner will appoint an individual to serve as its primary contact person with regard to this Agreement (the “Owner Manager”). Owner’s initial Owner Manager is set forth on Exhibit A. Owner may, from time to time, designate another individual as a proposed replacement for the Owner Manager by notice to Operator.

Owner, Manager and Consultant shall keep and maintain at all times full and accurate books of account and records adequate to correctly reflect all items required in order to calculate Consultant Fees and Leasing Commissions. All such books and records shall be kept at Overseas Management, Inc., 115 Xxxxxxxxx Xxxxxx Xxxxx, Xxxxx 000, Xxxxxxx, Xxxxxxx 00000-0000, xx at such office in the Commonwealth of Massachusetts as Owner may reasonably select, provided Owner gives Holder prior written notice thereof. Such books and records shall be available until at least five (5) years after repayment in full of the Loan. Holder shall have the right to inspect, copy and audit such books of account and records at Holder's expense, during reasonable business hours, and upon reasonable notice to Owner whether such books and records are in the possession of Owner or any agent of Owner, for the purpose of verifying the accuracy of any Accounting. All statements required under this Agreement shall be in addition to any other financial or operating statements required by Holder from Owner pursuant to the Loan Documents.

Owner, Manager and Franchisor acknowledge and agree that as of the Termination Time, all obligations accrued up to the Termination Time under the AmeriSuites Management Agreement and the AmeriSuites Franchise Agreement will have been satisfactorily fulfilled and performed and there will be no outstanding obligations thereunder, which will not have been performed or which will require additional performance, including without limitation, payment of Owner’s Return and Manager’s Return (as both terms are defined in the AmeriSuites Management Agreement).

  • Manager 5.1. Rules relating to the rights, duties and responsibilities of the Managers shall be governed by the Act. Such provisions are hereinafter incorporated into this Agreement by reference.   • Construction Manager The individual, partnership, corporation, joint venture, or any combination thereof, or its authorized representative, named as such by the District. If no Construction Manager is used on the Project that is the subject of this Contract, then all references to Construction Manager herein shall be read to refer to District.

  • Project Manager The term “Project Manager” refers to the employee of the State who has been assigned responsibility for overseeing and managing the proper and timely implementation of the project.

  • Program Manager Owner may designate a Program Manager to administer the Project and this Contract. In lieu of a Program Manager, Design Professional may be designated to perform the role of Program Manager. The Program Manager may also be designated as the Owner’s Representative, and if no Owner’s Representative is designated, the Program Manager shall be the Owner’s Representative.

  • City’s Representative The City hereby designates Xxx Xxxxx, or his or her designee, to act as its representative for the performance of this Agreement (“City’s Representative”). City’s Representative shall have the power to act on behalf of the City for all purposes under this Contract. Consultant shall not accept direction or orders from any person other than the City’s Representative or his or her designee.

  • Contractor’s Representative Contractor hereby designates [***INSERT NAME OR TITLE***], or his or her designee, to act as its representative for the performance of this Agreement (“Contractor’s Representative”). Contractor’s Representative shall have full authority to represent and act on behalf of the Contractor for all purposes under this Agreement. The Contractor’s Representative shall supervise and direct the Services, using his best skill and attention, and shall be responsible for all means, methods, techniques, sequences and procedures and for the satisfactory coordination of all portions of the Services under this Agreement.

  • Property Manager Any entity that has been retained to perform and carry out property rental, leasing, operation and management services at one or more of the Properties, excluding persons, entities or independent contractors retained or hired to perform facility management or other services or tasks at a particular Property.
