Ownership and Return of Materials. All materials (including, without limitation, documents, drawings, models, apparatus, sketches, designs, lists, and all other tangible media of expression) furnished to me by Company shall remain the property of Company. Upon termination of my employment, or at any time on the request of Company before termination, I will promptly (but no later than five (5) days after the earlier of my employment’s termination or Company’s request) destroy or deliver to Company, at Company’s option, (a) all materials furnished to me by Company, (b) all tangible media of expression which are in my possession and which incorporate any Proprietary Information or otherwise relate to Company’s business, and (c) written certification of my compliance with my obligations under this sentence.

All documents and materials, which I have had access to or produced in connection with my services for Motorola Solutions, or which belong to Motorola Solutions, whether or not such materials contain Confidential Information, shall remain the sole property of Motorola Solutions. Upon termination, or at any time requested, I shall promptly deliver to Motorola Solutions all such materials and copies in my possession and control and shall provide written confirmation that I have returned all such materials.

To the extent that Covenantor has not already done so, Covenantor shall immediately following termination of employment with the Company surrender to the Company all notes, data, sketches, drawings, manuals, documents, records, data bases, programs, blueprints, memoranda, specifications, customer lists, financial reports, equipment and all other physical forms of expression incorporating or containing any Confidential Information, it being distinctly understood that all such writings, physical forms of expression and other things are the exclusive property of the Company.

Upon termination of this Agreement, or at any time on the request of MHUT before termination, MHI, Coa and Shin will promptly (but no later than five (5) days after the earlier of such termination or MHUT’s request) destroy or deliver to MHUT, at MHUT’s option, (a) all such materials furnished to MHI by MHUT, (b) all tangible media of expression which are in MHI’s, Coa’s or Shin’s possession and which incorporate any Proprietary Information of MHUT or otherwise relate to MHUT’s business, and (c) written certification of MHI’s, Coa’s or Shin’s compliance with their obligations under this sentence.

Upon the termination of Covenantor's employment with Buyer, Covenantor shall immediately surrender to Buyer all notes, data, sketches, drawings, manuals, documents, records, data bases, programs, blueprints, memoranda, specifications, customer lists, financial reports, equipment and all other physical forms of expression incorporating or containing any Confidential Information, it being distinctly understood that all such writings, physical forms of expression and other things are the exclusive property of Buyer. Covenantor acknowledges that the unauthorized taking of any of Buyer's trade secrets is a crime under California Penal Code section 499(c) and is punishable by imprisonment in a state prison or in a county jail for a time not exceeding one year, or by a fine not exceeding five thousand dollars ($5,000), or by both such fine and such imprisonment. Covenantor further acknowledges that such unauthorized taking of Buyer's trade secrets could also result in civil liability under California Civil Code Section 3426, and that willful misappropriation may result in an award against Covenantor for triple the amount of Buyer's damages and Buyer's attorneys fees in collecting such damages.

Upon termination of Employee’s employment and/or independent contractor status, or at any time on the request of Company before termination, Employee will promptly (but no later than five (5) days after the earlier of said termination or Company’s request) destroy or deliver to Company, at Company’s option, (a) all materials furnished to Employee by Company, (b) all tangible media of expression which are in Employee’s possession and which incorporate any Proprietary Information or otherwise relate to Company’s business, and (c) written certification of Employee’s compliance with Employee’s obligations under this sentence.

Consultant shall promptly return all Confidential Information and other Company property to the Company upon any expiration or termination of the Service Period, or earlier, if so requested by the Company, and Consultant shall not retain copies thereof.

Upon termination of Executive's employment, or at any time on the request of NMMC/Loraca before termination, Executive will promptly (but no later than five (5) days after the earlier of the termination of Executive's employment or NMMC/Loraca's request) destroy or deliver to NMMC/Loraca, at NMMC/Loraca's option, (a) all materials furnished to Executive by NMMC/Loraca, (b) all tangible media of expression that are in Executive's possession to the extent that they incorporate any Proprietary Information or otherwise relate to NMMC/Loraca's business, and (c) written certification of Executive's compliance with Executive's obligations under this sentence.
