PASS-THROUGH COMPENSATION. In the event that the Xxxxx Admin Agent or any Xxxxx Lender shall demand or otherwise request any compensation (including pursuant to Sections 3.1 and 3.2, of the Xxxxx Loan Agreement), expenses (including pursuant to Section 10.1 of the Xxxxx Loan Agreement), indemnity (including pursuant to Section 10.2 of the Xxxxx Loan Agreement) or other amount from Xxxxx under and pursuant to the Xxxxx Loan Documents to which the Xxxxx Admin Agent or such Xxxxx Lender is entitled under and pursuant to the Xxxxx Loan Documents (collectively, “Compensation”), then the Borrower shall, on or before the later to occur of (x) the date upon which such Compensation shall have become due and owing under the Xxxxx Loan Documents, and (y) the Business Day immediately after the Borrower shall have received notice thereof, pay to the Xxxxx Admin Agent or such Xxxxx Lender, as the case may be, an amount equal to such Compensation, provided that in no event shall the term “Compensation” include principal, interest or fees.

  • Termination Compensation Termination Compensation equal to two (2) times the Executive's Base Period Income shall be paid to the Executive in a single sum payment in cash on the thirtieth (30th) business day after the later of (a) the Control Change Date and (b) the date of the Executive's employment termination; provided that if at the time of the Executive's termination of employment the Executive is a Specified Employee, then payment of the Termination Compensation to the Executive shall be made on the first day of the seventh (7th) month following the Executive's employment termination.

  • Final Compensation In the event of termination of the Executive’s employment with the Company, howsoever occurring, the Company shall pay the Executive (i) the Base Salary for the final payroll period of his employment, through the date his employment terminates; (ii) compensation at the rate of the Base Salary for any vacation time earned but not used as of the date his employment terminates; and (iii) reimbursement, in accordance with Section 2(e) hereof, for business expenses incurred by the Executive but not yet paid to the Executive as of the date his employment terminates, provided that the Executive submits all expenses and supporting documentation required within sixty (60) days of the date his employment terminates, and provided further that such expenses are reimbursable under Company policies then in effect (all of the foregoing, “Final Compensation”).   • Regulation D Compensation Each Bank may require the Company to pay, contemporaneously with each payment of interest on the Euro-Dollar Loans, additional interest on the related Euro-Dollar Loan of such Bank at a rate per annum determined by such Bank up to but not exceeding the excess of (i) (A) the applicable London Interbank Offered Rate divided by (B) one minus the Euro-Dollar Reserve Percentage over (ii) the applicable London Interbank Offered Rate.
