PATENT/COPYRIGHT INDEMNITY. 19.1 Contractor shall indemnify and hold Buyer harmless against any liability or expense as a result of claims, actions, or proceedings against Buyer alleging the infringement of any trademarks, United States Copyright or mask work, United States Letters Patent, any other intellectual property rights, by any article fabricated by Contractor and delivered to Buyer pursuant to this Contract as set forth below.

PATENT/COPYRIGHT INDEMNITY. 19.1 Contractor shall indemnify and hold HCG harmless against any liability or expense as a result of claims, actions, or proceedings against HCG alleging the infringement of any United States Letters Patent, or copyright of any data, or article fabricated by Contractor and delivered to HCG pursuant to this Contract as set forth below.
PATENT/COPYRIGHT INDEMNITY. Reduct will defend, indemnify and hold Licensee and its sublicensees and its and their customers harmless from any claims asserted against, imposed upon or incurred by Licensee or any of its sublicensees or any of its or their customers arising out of or relating to a claim that the Products infringe or otherwise violate any patent right, design patent right, copyright, trade secret or other intellectual property or proprietary right of any third party. Licensee will promptly notify Reduct of the claim, furnish Reduct a copy of each writing relating to the claim and give Reduct authority, information and assistance (at Reduct’s expense) necessary to defend or settle the claim. Reduct will not settle the claim without Licensee’s prior written consent if such settlement would adversely affect the rights of the other Party, such consent not to be unreasonably withheld, conditioned or delayed. This obligation excludes infringement arising out of (1) unauthorized use of the Products by Licensee or its customers, (2) post-delivery unauthorized modifications to the Products by Licensee or its customers; or (3) the combination, operation or use of the Products with non-Reduct supplied hardware, software, programs, data or specifications by Licensee or its customers if a different combination would avoid the infringement; provided such combination is not recommended by Reduct or contemplated by Reduct’s Product documentation. Without prejudice to the indemnity for any actions brought against Licensee referred to above, in the event that Reduct becomes aware of any actual or potential infringement claims, Reduct may at its sole option and discretion (1) procure for Licensee and its customers the right to use such Product free of any infringement liability; (2) replace such Products with a non-infringing substitute; or (3) accept Licensee’s return of the infringing Products in exchange for a refund of the purchase price paid to Reduct by Licensee therefore. THIS INDEMNITY IS REDUCT’S SOLE LIABILITY AND LICENSEE’S SOLE REMEDY FOR INFRINGEMENT OF PATENTS OR COPYRIGHTS.
PATENT/COPYRIGHT INDEMNITY. CFM-ITBONA shall defend any suit or preceding brought against Buyer to the extent that it is based on a claim that a Product made by CFM-ITBONA, sold under this Agreement infringes a valid patent or copyright and shall indemnify Buyer against all costs, damages and expenses finally awarded against Buyer which are attributed to such claim, provided that Buyer notifies CFM-ITBONA promptly in writing of any such claim and gives CFM-ITBONA full and complete authority, information and assistance for the defense of the suit or preceding and provided further that CFM-ITBONA shall have sole control of the defense and of the negotiations for settlement, if any, of the suit or proceeding. If any Product sold to Buyer by CFM-ITBONA is held to infringe any valid patent or copyright and the use of the Product is enjoined or in case any Product may, in the opinion of CFM-ITBONA, be held to constitute such infringement, CFM-ITBONA may at it’s expense, either (a) procure for Buyer the right to continue using the Product; (b) replace the Product with a suitable non- infringing Product; (c) suitably modify the Product or (d) remove the Product and refund the purchase price and transportation costs for the Product, less deduction for depreciation equal to twenty percent (20%) of the purchase price for each year of use since purchase. The foregoing states the entire liability of CFM-ITBONA and the exclusive remedy of Buyer, with respect to any alleged patent or copyright infringed by any Product. If the Product accused of infringement is modified or combined with other devices by persons other than CFM-ITBONA, without CFM-ITBONA’ written approval and the modification or combination results in infringement, suit or proceeding, CFM-ITBONA shall not be obligated to indemnify Buyer under this Article 16.
