Payment of Cash Award. The Company shall, subject to Section 3(a), 3(b) and Section 6, pay the Cash Award in a lump sum as soon as practicable following each Payment Date, but in no event later than March 15 of the calendar year following the Payment Date.
Payment of Cash Award. Subject to early termination of this Award Agreement pursuant to Section 6 or Section 7, the Company will pay to Grantee the aggregate earned Cash Award, if any, based upon the extent of achievement of the Performance Goals established by the Committee in accordance with Section 4, and subject to Grantee’s continued employment or service with the Company through the Vesting Date. Such payment, if any, will be made by the Company after the Vesting Date but by no later than March 15 of the year after the year in which the Vesting Date occurs (the “Payment Date”).
Payment of Cash Award. Subject to Section 4 below, each portion of the Cash Award that becomes vested in accordance with Section 2 above will be paid to Participant within thirty (30) days after the applicable Vesting Date.
Payment of Cash Award. Subject to Sections 3(a) and 7 of this Agreement, the vested Cash Award shall be payable to the Participant within thirty days (30) days after the Vesting Date. The amount of the vested Cash Award will be paid in local currency in the country where the Participant is employed and receives all other forms of remuneration at the time of each Vesting Date.
Payment of Cash Award. Subject to early termination of this Award Agreement pursuant to Section 6, the Company will pay to Employee the aggregate earned Cash Award for Tranche 1, Tranche 2, and Tranche 3, if any, based upon the extent of achievement of the Performance Goals established by the Committee in accordance with Section 4(b). Such payment, if any, will be made by the Company after the completion of the Performance Period but by no later than March 15 of the year after the year in which the last day of the Performance Period occurs (the “Payment Date”).
Payment of Cash Award. (a) As soon as administratively possible, as determined solely by the Company, but within sixty (60) days following each Vesting Date, the Grantee shall receive a cash payment equal to the amount of Cash Award vested on the applicable Vesting Date (the “Payment Date”), subject to reduction for applicable tax and other withholdings in accordance with Section 8; provided that if the Grantee has a Termination (i) for Cause or (ii) a voluntary resignation not for Good Reason (if applicable) or Retirement between the Vesting Date and the Payment Date, the Grantee shall forfeit the unpaid portion of the Cash Award, and the Grantee shall not be entitled to any further payments after the date of such Termination under this Award Agreement.
(b) Notwithstanding the forgoing, if any portion of the Cash Award vests pursuant to Section 5(a) or Section 5(b), the Grantee shall receive a cash payment equal to the amount of Cash Award vested as determined under Section 5(a) or Section 5(b), as applicable, within sixty (60) days following the date such Cash Award vests (or such later date as may be required by Section 9).
Payment of Cash Award. As soon as administratively possible, as determined solely by Centuri, but within sixty (60) days of the payment event, unless a delay is required as provided in the next sentence, following the earlier of the occurrence of a Termination described in Section 4 or the Vesting Date, (the “Distribution Date”), the Grantee shall receive a payment, as provided herein, of the Cash Award in respect of the value of such vested portion of the Cash Award (subject to reduction for applicable tax and other withholdings); provided the Grantee has been an employee of Centuri or an affiliated company with continuous service from the Date of Grant to the Vesting Date, except in the event of the Grantee’s Termination as discussed in Section 4 above and the Distribution Date is the date of the Grantee’s Long-Term Incentive Cash Award Agreement Termination; provided, however, that if the Grantee is terminated for Cause or has a voluntary resignation that is not on account of Good Reason or Retirement between the Vesting Date and the Distribution Date, the Grantee shall forfeit the Cash Award, and the Grantee shall not be entitled to any distribution or other payment under this Award Agreement or otherwise. Notwithstanding the immediately preceding sentence, in the case of a payment of the vested Cash Award on account of any Termination as provided for above, other than death, a payment of the value of the vested portion of the Cash Award, determined after application of the applicable tax and other withholding, on behalf of the Grantee, if the Grantee is a “specified employee” as defined in Section 409A of the Internal Revenue Code of 1986, as amended (“Code”), to the extent otherwise required under Section 409A, shall not occur until the date which is six (6) months following the date of the Grantee’s Termination (or, if earlier, the date of death of the Grantee). Upon a payment of the value of the Cash Award as provided herein, all other restrictions shall be removed.
Payment of Cash Award. To the extent, if any, the Cash Award is vested pursuant to the terms of this Agreement or the Plan, the Cash Award shall be paid by the Corporation delivering to or in respect of the Grantee, subject to Sections 4 through 7 of this Agreement, a lump sum cash payment equal in aggregate, to the portion of the Cash Award vested pursuant to Sections 4 through 7, above. The lump sum cash payment shall be paid to or in respect of the Grantee as soon as practicable after (and in no case more than 30 days after) the vesting date as specified in Section 4 above. Neither the Grantee nor any of the Grantee’s successors, heirs, assigns or personal representative shall have any further rights or interest in any Cash Award amounts that are so paid.
Payment of Cash Award. With respect to any Cash Award that becomes vested as of a Vesting Date pursuant to Section 2, the Company (or subsidiary) shall pay an amount equal to the vested portion of the Total Award Value as soon as practicable following the applicable Vesting Date.
Payment of Cash Award. Payment of the Vested Cash Award shall be made as soon as administratively practicable after the applicable Vesting Date, but in no event later than March 15, 202[_].
