Payment of Certain Fees and Disbursements. The Purchasers shall have been paid their pro rata portion of the $500,000 investment fee and shall have been reimbursed for all reasonable costs and expenses (including, but not limited to, legal, consulting and accounting) incurred by them through the Closing Date in connection with the transactions contemplated by this Agreement.

All of the other fees. expenses and disbursements incurred by you or your accountants and other consultants in connection with your due diligence investigation of the Company and its Subsidiaries shall have been paid in full by the Company.

GMN and RCP shall have received aggregate payments of $100,000 for all out-of-pocket expenses incurred in connection with the transactions contemplated by this Agreement and the Related Agreements, including, but not limited to, due diligence costs and travel expenses and all legal fees reasonably charged and all charges for costs, expenses and disbursements incurred by counsel to the Investors through the Closing Date in connection with the transactions -24- contemplated by this Agreement and the Related Agreements. The Company shall also pay all reasonable out-of-pocket expenses incurred by Carefree Capital in connection with the transactions contemplated by this Agreement and the Related Agreements, including, but not limited to, due diligence costs and travel expenses.

At the Closing, the Purchasers shall have been reimbursed, subject to and in accordance with Article X hereof, for all reasonable fees and expenses of Edwards & Angell incurred by the Purchasers through thx Xxxxxng Dxxx xx connection with the transactions contemplated by this Agreement.

The Purchasers shall have been reimbursed, subject to and in accordance with Article XII hereof, for all out of pocket reasonable costs and expenses (including, but not limited to, reasonable legal and accounting expenses) incurred by it through the Closing Date in connection with the transactions contemplated by this Agreement (provided that the Company shall be required to reimburse only the reasonable legal fees and expenses of Xxxxxxx & Xxxxxx, LLP, Xxxxxx & Xxxxxxx, FCC counsel, and Pillsbury Winthrop LLP, California counsel) and the Company shall have paid the reasonable legal fees and expenses of Xxxxxxx & Xxxxxx, LLP, Xxxxxx & Xxxxxxx, and Xxxxxxxxx Xxxxxxxx LLP through the Closing Date in connection with the transactions contemplated by this Agreement.
