Payment of Royalties Reports. Except as otherwise specifically set forth, all fees due to Client shall be due and payable on or before the fifteenth (15th) day following the applicable Calendar Quarter. EFS shall use commercially reasonable efforts to provide within three (3) days, but in no event later than five (5) days, following such Calendar Quarter, regardless of whether any payment is due, a report that includes at a minimum: (a) gross sales broken down by each Website, Catalog and product, gross shipping charges and gross advertising revenue generated during such Calendar Quarter; (b) a detailed calculation of Merchandise Gross Margin, Net Merchandise Sales, shipping profit and Net Advertising Revenue; (c) a detailed calculation of the Royalty, Shipping Royalty and Advertising Fee payable to Client for such Calendar Quarter; (d) Client’s aggregate Royalty, Shipping Royalty and Advertising Fee earned and paid to date; and (e) such other information as may be requested by Client from time to time. In addition, EFS shall provide to Client interim monthly reports.

Payment of Royalties Reports. If and so long as there is then Loan availability under that part of the Revolving Commitment that is supported by the Borrowing Base attributable to the Borrowing Base Oil and Gas Properties (in excess of $300,000 of coverage for outstanding Letters of Credit), deliver to Bank, on or before the sixtieth (60th) day after the end of each calendar month, a monthly report of royalties, overriding royalties, production payments or other payments paid by Borrower to the owners of such interests (or into a suspense account as described in Section 5.34) in the Borrowing Base Oil and Gas Properties with respect to oil and gas produced during such calendar.

Payment of Royalties Reports. To the extent actual Royalties due (including, without limitation, the Royalties pursuant to Sections 7.1 and 7.2) exceed the Minimum Guaranteed Royalty payments (The Minimum Guaranteed Royalties shall be credited against and offset the Royalties accordingly), other Royalty payments and reports will be due monthly. Within forty-five (45) days following each month after the Effective Date, Dwango shall make an accounting of all gross revenue and Net Revenue accrued during each such month, shall accompany such accounting with a payment (pursuant to Section 7.7 below) to Xxxxxxx.xxx equal to the accrued Royalty for that month, if any, in excess of the Minimum Guaranteed Royalty previously paid for such period and shall provide Xxxxxxx.xxx with a report that includes at a minimum (i) the gross revenue and Net Revenue generated during such month, (ii) a detailed calculation of costs and expenses incurred in arriving at gross revenue and Net Revenue, together with documentation validating those costs and expenses, (iii) a detailed calculation of Royalties payable to Xxxxxxx.xxx, and (iv) Xxxxxxx.xxx’s aggregated Royalties earned and paid to date.
