Net Advertising Revenue definition

Net Advertising Revenue means for each month Gross Advertising Revenue less Advertising Costs and, if sold directly, any Advertising Sales Fee.

More Definitions of Net Advertising Revenue

Net Advertising Revenue means the gross revenue received by iVillage from the sale of Advertisements on the (a) Magazine Sites, (b) any page of the Network that primarily contains Proprietary Content (other than teasers), and (c) any other page of the Network on which any article or feature that is Proprietary Content (other than teasers) is reproduced or duplicated substantially in its entirety, less agency fees (which shall not exceed fifteen percent (15%) of gross revenue from the sale of Advertisements), commissions (which shall not exceed eight percent (8%) of gross revenue from the sale of Advertisements, credits due to cancellations and provisions for bad debt. In no event shall Net Advertising Revenue for any period be less than the product of (A) gross advertising revenue recognized from the sale of all advertising on the Magazine Sites multiplied by (B) (i) the result of dividing the total number of advertisements served (impressions -specifically including banners, buttons, text ads, newsletters, cost per click and cost per acquisition) on the Magazine Sites by the total number of advertisements served (impressions - specifically including banners, buttons, text ads, newsletters, cost per click and cost per acquisition) on the Network.
Net Advertising Revenue means all advertising revenue actually collected by LAUNCH in connection with the Co-branded Areas (including in-kind compensation) less actual selling commissions, agency commissions, and all actual out of pocket expenses directly incurred by LAUNCH in connection with creating, selling and fulfilling such advertising, which commissions and expenses shall in no event in total exceed [ * ] of gross advertising revenues.

Notwithstanding the foregoing, if Licensee or its subsidiaries sells or acquires a business or assets to or from a third party (that is not a subsidiary of Licensee) in which Network or Station advertising time is committed to such third party in the case of a sale or all or a portion of the consideration is advertising time in the case of an acquisition, Licensee will provide Licensor with its reasonable determination of the relative fair value (as such concept is described in Emerging Issues Task Force Issue 00-21 or any successor issue or standard) of such advertising time and the basis of such determination.
