PAYMENT WAIVER. You hereby waive any right to collect any royalties, proceeds, or remuneration for the distribution and download of the Licensed Application via the Promo Codes, regardless of whether any remuneration would otherwise be payable under the Agreement, including Schedule 1 thereto, if applicable. The parties acknowledge that, as between Apple and You, the parties’ respective responsibilities for the payment of any royalties or other similar payments to third parties with respect to distribution and download of the Licensed Application via the Promo Codes shall be as set forth in the Agreement.
PAYMENT WAIVER. The Shareholder hereby waives any payments that are “contingent upon a change in control”, within the meaning of Section 280G of the Code, including enhanced severance or termination benefits, enhanced compensation, tax gross ups or other “change of control” or similar payments that would become payable to the Shareholder as a result of the consummation of the Merger under any employment agreement, plan or other arrangements.
PAYMENT WAIVER. The Company’s obligation to make an additional payment of $1,738,952, in accordance with Section 2(f) of Consent No. 2 is hereby waived as the funds previously earmarked to satisfy this obligation are to be paid to Power Partners under the Settlement Agreement. Nothing herein shall be construed to waive any other of the Company Payment Obligations under the Prior Program Documents.

The parties acknowledge that, as between Apple and You, the parties’ respective responsibilities for the payment of any royalties or other similar payments to third parties with respect to distribution and download of the Licensed Application via the Custom Codes shall be as set forth in the Agreement.
PAYMENT WAIVER. BUPA shall not be obliged to make any payment for that element of the Services in relation to which it has exercised any right of step in during the period that BUPA or a replacement supplier is providing such elements of the Services.
PAYMENT WAIVER. The Company shall make Payments of the Principal Amount and interest on this Note pursuant to the terms of Sections 1 and 2 above. Payment shall be made by check mailed to the registered Holder in accordance with Section 10, without presentment of the Note and without notation of payment being made on the Note. The Company hereby waives grace, notice of intent to accelerate, protest, demand, presentment for payment and diligence in the collection of this Note, and in the filing of suit hereon. It is further agreed that upon this Note becoming due or being declared due and upon the same being placed in the hands of attorneys for collection, collected by suit, or collected through a court of bankruptcy, the Company agrees to pay a reasonable amount as collection or attorneys' fees.
