Fee Waiver. For the term of this Agreement, WTAM agrees to reduce its Management Fee to the percentage of the Fund’s average daily net assets shown in Schedule A.
Fee Waiver. The Adviser agrees to a reduction in the Fund’s unitary management fee to 0.59% (the “Reduced Fee”) of the Fund’s average daily net assets effective as of the date first written above.
Fee Waiver. Notwithstanding the provisions of the above Section 6, during the five year period following the closing of the Fund's first public offering of common shares, (i) the Advisor agrees to waive a portion of its Advisory Fee equal to an annual rate of .25% of Average Daily Total Assets.
Fee Waiver. For the term of this Agreement, the Advisor agrees to reduce its Management Fee with respect to the Fund as indicated in Schedule A.
Fee Waiver. The Adviser hereby agrees to waive a portion of the Fund's management fee equal to 0.07% of the Fund's average daily net assets for a period to commence on [_________], 2021 and continue through [one year from commencement date], 2022.
Fee Waiver. If as of the end of the last month of the applicable period the NAV of a Class E Series 1 Unit is less than $10.00 per unit, the Advisor will waive its fees earned under this Agreement in an amount equal to the product of (a) the Performance Component for the applicable period, and (b) the weighted-average Class E Series 1 Units outstanding over the applicable period divided by the weighted-average OP Units outstanding over the same period. In this manner, the holders of each class of OP Units will benefit from this waiver pro rata in accordance with their particular class’s portion of Operating Partnership NAV.
Fee Waiver. If assessed or chargeable by the City Bodies, the City shall waive: City Fees related to (a) the initial construction of the Project and (b) for first generation tenants; provided that during any continuing Event of Default by Developer hereunder or under any Ancillary Agreements, City shall be entitled to either suspend or terminate any further waiver of the foregoing fees. It is further agreed that City has not waived and does not hereby waive any re-inspection fees customarily charged by any City Parties.
Fee Waiver. If all parties, including any other subadvisors with assets of the Fund under current management, agree in advance, the Subadvisor may agree to waive its Subadvisory Fee to the same extent, calculated as a percentage, as the Advisor waives its advisory fee voluntarily or due to state expense limitations or as may be otherwise required by law. To the extent the Advisor is able to recapture waived fees pursuant to its Investment Advisory Agreement with the Fund, the Advisor will pay the Subadvisor a subadvisory fee on the recaptured advisor's fee in accordance with this Schedule.
Fee Waiver. To the extent that the aggregate expenses (the “Expenses”) incurred by a Fund, including but not limited to organizational and offering costs and the Fees (but excluding interest, taxes, brokerage commissions, dividend and interest expenses on securities sold short, other expenditures which are capitalized in accordance with generally accepted accounting principles (other than offering costs), other extraordinary expenses not incurred in the ordinary course of such Fund’s business and amounts payable pursuant to a plan adopted in accordance with Rule 12b-1 under the Investment Company Act of 1940, as amended (the “1940 Act”)), exceed on an annual basis the amount specified in Schedule A (the “Expense Limit”), AIS shall waive its Fees under one or both of the AIS Agreements in an amount equal to such excess amount so that the Expenses incurred by a Fund in any fiscal year do not exceed the Expense Limit.
Fee Waiver. The Advisor shall reduce its advisory fee with respect to each Fund from 0.45% to 0.38% for the entire term of the Agreement.
