Payments to Others. If payment of Merger Consideration in respect of shares of Capital Stock converted pursuant to Section 1.5 is to be made to a Person other than the Person in whose name a surrendered Company Stock Certificate is registered, it shall be a condition to such payment that the Company Stock Certificate so surrendered shall be properly endorsed or shall be otherwise in proper form for transfer and that the Person requesting such payment shall have paid any transfer and other similar Taxes required by reason of such payment in a name other than that of the registered holder of the Company Stock Certificate surrendered or shall have established to the satisfaction of Parent that such Tax either has been paid or is not payable.
Payments to Others. If payment or issuance of Merger Consideration in respect of shares of Company Capital Stock converted pursuant to this Agreement is to be made to a Person other than the Person in whose name a surrendered Company Stock Certificate is registered, it shall be a condition to such payment that the Company Stock Certificate so surrendered shall be properly endorsed or shall be otherwise in proper form for transfer and that the Person requesting such payment shall have paid any transfer and other Taxes required by reason of such payment in a name other than that of the registered holder of the Company Stock Certificate surrendered or shall have established to the reasonable satisfaction of Parent that such Tax either has been paid or is not payable.
Payments to Others. Under WRP, a landowner must meet the AGI and HEL/WC provisions of the Food Security Act of 1985, as amended, to be eligible for payment, as described above.
Payments to Others. If payment of Merger Consideration in respect of shares of Capital Stock or Company Warrants converted pursuant to Section 1.5 or Section 1.6, as applicable, is to be made to a Person other than the Person in whose name a surrendered Company Stock Certificate or Company Warrant, as applicable, is registered, it shall be a condition to such payment that (i) the Company Stock Certificate or Company Warrant, as applicable, so surrendered be properly endorsed or otherwise be in proper form for transfer and (ii) the Person requesting such payment has paid any transfer and other Taxes required by reason of such payment in a name other than that of the registered holder of the Company Stock Certificate or Company Warrant, as applicable, surrendered or has established to the satisfaction of Parent that such Tax either has been paid or is not payable.
Payments to Others. We may repay to any other person, insurance company or organization the amount which it paid for your Covered Services and which we decide we should have paid. These payments are the same as benefits paid.
Payments to Others. To the extent not covered in Article 4.6, Supplier shall provide evidence of payment of all indebtedness, satisfactory to Owner, and including final waivers of lien. This information shall be furnished to Owner by Supplier no later than the date Supplier submits its final invoice.
Payments to Others. The Tenant must make payments payable under this part to persons other than the Landlord, promptly.
Payments to Others. We will not make payments to others on your behalf, other than in connection with a matter we are directly instructed on. We are not authorised by the Financial Conduct Authority (FCA). However, we are included on the FCA Register maintained by the Financial Conduct Authority so that we can carry on insurance distribution activity, which is broadly the advising on, selling and administration of insurance contracts. This part of our business, including arrangements for complaints or redress if something goes wrong, is regulated by the Solicitors Regulation Authority. 7.1 Raising queries and concerns
Payments to Others. If the Contractor fails, neglects, or refuses to pay promptly a person’s claim for labor or services that the person provides to the Contractor or one of its subcontractors in connection with a Contract for Services, then, as the claim becomes due, CRPUD may pay the amount of the claim to the person that provided the labor or services and charge the amount of the payment against funds due or to become due the Contractor by reason of the Contract of the Services.
Payments to Others. If you have arranged in advance to make regular electronic funds transfers from your account(s) for money you owe others, you may stop payment of preauthorized transfers from your account. You must notify us orally by calling 0-000-000-0000 or by visiting the nearest branch office any time up to three (3) business days before the scheduled date of the transfer. We may require written confirmation of an oral stop payment order to be made within fourteen (14) days of the oral notification. If we do require the written confirmation, the oral stop payment order shall cease to be binding fourteen (14) days after it is made if you do not provide the written confirmation. We may charge you, according to our service fees brochure, for each stop payment order on EFT transactions payable to others that you request us to process.
