Termination or Suspension by Us. In addition to exercising any other rights under law, We may suspend or terminate Service upon Your failure pay Us amounts owed as due, subject to any grace periods, a material breach of this Agreement, use of the Service in such a way as to cause damage to or degradation of Our Equipment, Your insolvency, and/or abusive action to PBB staff.
Termination or Suspension by Us. We may withhold Services or immediately terminate this Agreement: (i) upon breach of this Agreement by you or any Member; (ii) upon termination, expiration or material loss of our rights in the Premises; (iii) if any outstanding fees are still due after we provide notice to you; (iv) if you or any of your Members fail to comply with the terms and conditions of the WeWork Member Network Terms of Service, our Wireless Network Terms of Service, or any other policies or instructions provided by us or applicable to you; or (v) at any other time, when we, in our sole discretion, see fit to do so. You will remain liable for past due amounts, and we may exercise our rights to collect due payment, despite termination or expiration of this Agreement. An individual Member will no longer receive the Services and is no longer authorized to access the Main Premises or other Premises upon the earlier of (x) the termination or expiration of this Agreement; (y) your removal of such Member from the Member List or (z) our notice to you that such Member violated this Agreement. We may withhold or terminate Services of individual Members for any of the foregoing reasons; in such circumstances this Agreement will continue in full force and effect to the exclusion of the relevant Member.
Termination or Suspension by Us. We may modify or terminate service as provided in Section 6.2. In addition to exercising any other rights under law, We may also terminate all Service upon: (a) Your breach or violation of any term or provision of the Agreement (including, if applicable, the Acceptable Use Policy and/or Fair Access Policy); (b) Your use of the Service in such a way as to cause damage to or degradation of Our Equipment or system; or (c) Your insolvency, appointment of a receiver or trustee for You, Your execution of an arrangement for the benefit of creditors or similar proceeding, or initiation by any party of any other proceeding involving You as debtor under Bankruptcy Code.
Termination or Suspension by Us. We will only suspend or stop acting for you if we have a good reason. This includes:
(a) you not paying an invoice in full within 14 days;
(b) you not making a payment on account when we ask;
(c) if a conflict of interest arises; or
(d) if following your instructions may result in us breaching our professional duties or going beyond an agreed value of work. Where appropriate, we will give you reasonable notice and explain the reasons why are doing so.
Termination or Suspension by Us. 10.4.1 We, or Zero for us, may terminate this Agreement at any time by giving you two months’ advance notice, which will be sent to the email address that you have provided to us.
10.4.2 We, or Zero for us, can suspend the Account or Card, restrict their functionality or terminate this Agreement at any time with immediate effect if:
a) you haven’t given us the information we need or we believe that any of the information that you have provided to us was incorrect or false; or
b) you do not repay money that you owe to us; or
c) you fail to provide the Personal Data necessary for us to comply with our legal or regulatory obligations and to fulfil this Agreement; or
d) we reasonably suspect that the security of the Card or Account has been compromised or that you, or any third party, have used, or intend to use the Card or Account in a grossly negligent way or for fraudulent or other illegal purposes;
e) we believe that your use of the Card or Account may result in harm to us or our systems; or
f) we believe that your continued use of the Card or Account may damage our reputation; or
g) you become bankrupt; or
h) we are required to do so under Applicable Law or we believe that your continued use of the Account and/or Card may be in breach of Applicable Law; or
i) we cannot process some or all of your Transactions due to the actions of third parties; or
j) you have breached an important part of this Agreement or have repeatedly breached any term of this Agreement and have failed to resolve it in a timely manner.
Termination or Suspension by Us. (a) We may withhold Services or immediately terminate this Agreement:
(i) upon breach of this Agreement by you or any Member;
(ii) upon termination, expiration or material loss of our rights in the Premises;
(iii) if any outstanding fees are still due after we provide notice to you;
(iv) if you or any of your Members fail to comply with the terms and conditions of the Member Network Terms of Service, our WiFi Network Terms of Service, the Rules or any other policies, instructions or directions provided by us or applicable to you; or
(v) at any other time, when we, in our sole discretion, and having given you reasonable notice if appropriate, consider you are unfit to continue to occupy the Office Space having regard to your conduct and that of the individuals set forth on your Member List and any feedback received from other members at the Premises.
(b) You will remain liable for past due amounts, and we may exercise our rights to collect due payment, despite termination or expiration of this Agreement.
Termination or Suspension by Us. 7.1 Without limiting our other rights, we may immediately terminate this Agreement or suspend or temporarily remove any of your listings if:
(a) you fail to pay any fees or charges due to us within 30 days after the due date;
(b) any of your warranties or representations in clause 4 are incorrect;
(c) you are in material breach of your obligations under this Agreement which includes the Specific Terms of Use – HAPI in Schedule 1 (and, for these purposes, any breach of any obligation under clause 6 above will be regarded as material);
(d) you are in breach of this Agreement (whether or not the breach is material) and fail to rectify the breach within 7 days of us giving you notice of the breach and requiring that it be remedied;

In addition to exercising any other rights under law, We may also terminate all Service “for cause” upon: (a) Your breach or violation of any term or provision of the Agreement (including, if applicable, the Acceptable Use Policy and/or Fair Access Policy), including any non-payment of amounts owed; (b) Your use of the Service in such a way as to cause damage to or degradation of Our Equipment or system; or (c) Your insolvency, appointment of a receiver or trustee for You, Your execution of an arrangement for the benefit of creditors or similar proceeding, or initiation by any party of any other proceeding involving You as debtor under Bankruptcy Code. We may also terminate Your service “without cause”, in which case We will xxxx You only for the period of service, and will provide You with a pro-rata refund of any prepaid service charges. You will not receive a refund for any purchased Equipment in the event of a termination for any reason.

In addition to exercising any other rights under law, We may also terminate all Service “for cause” upon: (a) Your breach or violation of any term or provision of the Agreement, including any non-payment of amounts owed; (b) Your use of the Service in such a way as to cause damage to or degradation of Our Equipment or system; or (c) Your insolvency, appointment of a receiver or trustee for You, Your execution of an arrangement for the benefit of creditors or similar proceeding, or initiation by any party of any other proceeding involving You as debtor under Bankruptcy Code. We may also terminate Your service “without cause”, in which case We will bill You only for the period of Service, and will provide You with a pro-rata refund of any prepaid service charges. You will not receive a refund for any purchased Equipment in the event of a termination for any reason. For Wireless Services Only: Without limiting the forgoing, no Termination Fee is charged if You terminate your Service Plan within 24 hours of activation of your wireless phone, in which case You will only be billed the activation fee and the pro-rated portion of the monthly service fee. If You terminate the Agreement after the original term has expired, You agree to pay that month's recurring charges and all other charges due and owing on Your account. You also agree that You will not receive a credit or refund for any unused minutes for that month's billing cycle. No Termination Fee is assessed if You terminate your Month to Month Service plan with Us. Termination of a two year service contract will result in a termination fee of $175.00.
