Pensions obligations. No member of the CPW Group is or has been at any time on or after 27 April 2004 but before Completion, associated or connected (as defined in section 38(10) of the Pensions Act 2004) with any person who is or was the employer in relation to an occupational pension scheme which is not a money purchase scheme or a prescribed scheme under section 38(1) or 43(1) of the Pensions Act 2004 (other than the Intertan Plan).

  • Conditions of the Company’s Obligations The obligations of the Company to the Purchaser under this Agreement are subject to the fulfillment, on or before each Closing Date, of each of the following conditions:
