PERIODIC VALUATIONS. The Investment Manager will send the Client quarterly a Portfolio Valuation which will include a list of the individual investments comprising the Portfolio, their respective acquisition costs, the value of each as at the valuation date and the performance of the Portfolio measured relative to the relevant Index. Unless otherwise agreed or stated in the Valuation, the basis of valuation shall be as follows: Securities quoted on a Stock Exchange : mid-market price between bid and offer or, where this is not available, in accordance with local market practice Quoted Unit Trusts : mid price between bid and offer or, where this is not available, in accordance with local market practice Other : cost or the Investment Manager's estimated valuation where appropriate evidence is available.

PERIODIC VALUATIONS. 7.1 The Administering Authority may periodically obtain from an actuary a certificate specifying, in the case of the Admission Body, the percentage or amount by which, in the actuary’s opinion, the contribution rate at the common rate or any prior individual adjustment within the meaning of the Regulations should be increased or reduced. This is with a view to ensuring that, as far as is reasonably possible, the value of assets of the Pension Fund in respect of Eligible Employees and former Eligible Employees under the Agreement is neither materially more nor materially less than the anticipated liabilities of the Pension Fund in respect of the said Eligible Employees at the date the Contract or this Agreement is due to end.
PERIODIC VALUATIONS. 7.1 Without prejudice to its powers under Regulation 64(4), where the Administering Authority considers there are circumstances which make it likely that the Admission Body will become an exiting employer, the Administering Authority may obtain from an actuary appointed by the Administering Authority a certificate specifying, in the case of the Admission Body, the percentage or amount by which, in the actuary’s opinion, the contribution rate at the common rate or any prior individual adjustment within the meaning of the Regulations should be increased or reduced. This is with a view to ensuring that , as far as is reasonably possible, the value of assets held is equivalent to the anticipated exit payment that will be due from the Admission Body to the Pension Fund by the likely exit date.The costs of obtaining this certificate shall be borne by the party requesting the certificate.

PERIODIC VALUATIONS. 7.1In the event that this Agreement continues beyond the termination date specified in Clause 8.2 below, the Administering Authority may at its own cost, unless requested by the Transferee Admission Body or required as a consequence of its action or inaction, periodically obtain from an Actuary a certificate specifying, in the case of the Transferee Admission Body, the percentage or amount by which, in the Actuary’s opinion, the contribution rate at the common rate or any prior individual adjustment within the meaning of the Regulations should be increased or reduced. This is with a view to ensuring that, as far as is reasonably possible, the value of assets of the Pension Fund in respect of Eligible Employees and the Former Eligible Employees, under the Agreement is neither materially more nor materially less, in the Administering Authority’s opinion, than the anticipated liabilities of the Pension Fund in respect of the said Eligible Employees and Former Eligible Employees at the date the Arrangement or this Agreement is due to end.
PERIODIC VALUATIONS. 7.1 Where in the opinion of the Administering Authority there are circumstances which make it likely that the Admission Body will become an exiting employer, the Administering Authority may obtain from an actuary a certificate, specifying the percentage or amount which, in the actuary’s opinion, the contribution rate at the primary rate or any prior secondary rate should be increased or reduced This is with a view to providing that assets equivalent to the exit payment that will be due from the Admission Body are provided to the Pension Scheme by the likely exit date or, where the Admission Body is unable to meet the liability by that date, over such a period of time thereafter as the Administering Authority considers reasonable.

  • Periodic Reviews During January of each year during the term hereof, the Board of Directors of the Company shall review Executive's Annual Salary, bonus, stock options, and additional benefits then being provided to Executive. Following each such review, the Company may in its discretion increase the Annual Salary, bonus, stock options, and benefits; however, the Company shall not decrease such items during the period Executive serves as an employee of the Company. Prior to November 30th of each year during the term hereof, the Board of Directors of the Company shall communicate in writing the results of such review to Executive.

  • Valuations Capital Commitment Investments shall be valued annually as of the end of each year (and at such other times as deemed appropriate by the Managing Member) in accordance with the principles utilized by the Company (or any Affiliate that is a general partner of the Funds) in valuing investments of the Funds or, in the case of investments not held by the Funds, in the good faith judgment of the Managing Member, subject in each case to the second proviso of the immediately succeeding sentence. To the full extent permitted by applicable law such valuations shall be final and binding on all Members; provided further, that the immediately preceding proviso shall not apply to any Capital Commitment Interests held by a person who is or was at any time a direct Member of the Company.
