Place of fulfilment and jurisdiction. The place of fulfilment for all liabilities arising from the Agreement, particularly for the payment of the purchase price, and place of jurisdiction shall be 00000 Xxxxxxxxxxx, Xxxxxxx. However, the Supplier may initiate proceedings in the location of the Buyer's head office. The international responsibility of the German courts has been agreed with foreign buyers.

Place of fulfilment and jurisdiction. The place of fulfilment shall be Cham, Switzerland. For all claims and/or disputes between the PARTIES arising from and/or in connection with this contract, the courts of Cham, Switzerland, insofar as legally permitted, shall be exclusively responsible.

12.2 The place of jurisdiction for all disputes arising from or in connection with these General Terms and Conditions is the local court responsible for Berlin-Spandau. This shall also apply to actions on check.
12.3 However, the contractor shall also be entitled to bring an action before the domestic or foreign ordinary court having jurisdiction over the customer.
Place of fulfilment and jurisdiction. Choice of Law, Severability Clause, Written Form
10.1 The place of fulfilment for the delivery is the respective point of dispatch; for payments it is Duisburg.
10.2 For contracts with traders in terms of the German Commercial Code, the courts of Du- isburg shall have exclusive jurisdiction unless compellingly prescribed otherwise by law.
10.3 German law applies (in particular the Ger- man Civil Code and the German Commercial Code), exempting the UN Sales Convention.
10.4 Should individual clauses of these Terms and Conditions be fully or partly invalid or con- tain a gap, then this does not affect the va- lidity of the remaining clauses or the remain- ing parts of such clauses.
10.5 The decisive version is the German version of these Terms and Conditions. The publica- tion in another language merely serves to facilitate the understanding.
10.6 Contractual amendments and supplements must be stipulated in writing to become ef- fective. There are no verbal agreements.
Place of fulfilment and jurisdiction. The place of fulfilment for all reciprocal performances shall be the company headquarters of the purchaser. The place of jurisdiction for any legal disputes shall be the court responsible for the company headquarters of the purchaser; in addition, the stipulations of the German Code on Court Constitution (GVG) and German Code of Civil Procedure shall apply.
Place of fulfilment and jurisdiction. The place of fulfilment and jurisdiction for all agreements with us and for all our obligations, instruments or cheques, shall be VS-Villingen. In the event that the Buyer should not be a merchant with full commercial capacity, this clause shall also be applicable to any proceedings fro recovering debts.

German law alone shall apply under the preclusion of application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) or the other laws on the international sales of movables.
