Special Assets definition

Special Assets means (a) the Capital Stock or assets of RCN Corporation and Commonwealth Telephone Enterprises, Inc. (and any intermediate holding companies or other entities formed solely for the purpose of owning such Capital Stock or assets) owned, directly or indirectly, by Parent or any Restricted Subsidiary on the Measurement Date, and (b) any Property, other than cash, Cash Equivalents and Telecommunications/IS Assets, received as consideration for the disposition after the Measurement Date of Special Assets (as contemplated by the first proviso in Section 1016).
Special Assets means capital assets that constitute utility or non-utility plant and that: (1) taking into account any substantially contemporaneous or otherwise related sale, transfer, lease or other disposition, increase the generating capacity of the System or any generating plant of the Borrower by more than 5%; (2) are not subject to the lien of the Indenture and are not nuclear fuel; or (3) are not used or useful as a part of the System.
Special Assets means (a) the Capital Stock or assets of Cable Michigan, Inc., RCN Corporation, Commonwealth Telephone Enterprises, Inc., KCP, Inc. and California Private Transportation Company, L.P. (and any intermediate holding companies or other entities formed solely for the purpose of owning such Capital Stock or assets) owned, directly or indirectly, by the Company or any Restricted Subsidiary on the Measurement Date, and (b) any Property, other than cash, Cash Equivalents and Telecommunications/IS Assets, received as consideration for the disposition after the Measurement Date of Special Assets (as contemplated by the first proviso in Section 1016).

Special Assets means a capital asset, or series of related capital assets, with an aggregate purchase price in excess of $20.0 million that enhances the competitiveness or productivity of the business of the Company and its Subsidiaries or is required so that the Company and its Subsidiaries will be able to remain in compliance with all material requirements of applicable law."
Special Assets means rights of every kind and nature in and to literary, trademark, service ▇▇▇▇, literary property, personal property, photograph, name, likeness, character, motion picture, musical, dramatic or other literary material of any kind or nature upon which, in whole or in part, any item of Product is or may be based or from which it is or may be adapted or inspired, or which may be or have been used or included in such item of Product, including, without limitation, the screenplays therefor and all other scripts, scenarios, screenplays, bibles, scores, treatments, novels, outlines, books, play titles, characters, concepts, manuscripts, music, musical compositions, and sound and related rights and copyrights of every kind or nature in such literary or music property, in whatever state of completion, and all drafts, versions and variations thereof, and merchandising and licensing rights therefor, including, without limitation, in trademarks.
Special Assets means securities which are being held for the purpose contemplated in section 4.7.

The Borrower shall not, without first complying with the requirements of Section 9.1, purchase, construct, lease or otherwise acquire a capital asset (other than a capital asset acquired with at least 85% of the acquisition cost paid from the proceeds of non-recourse obligations) that, taking into account any substantially contemporaneous or otherwise related sale, transfer, lease or other disposition increases the generating capacity of the System or any generating plant of the Borrower by more than 5%, if the aggregate amount to be expended for the purchase, construction, lease or other acquisition of such capital asset is, at the time of commencement of construction or the date of committing to the purchase, lease or other acquisition thereof, reasonably estimated by the Borrower to exceed 10% of the Borrower’s Total Utility Plant.
