Governing Law and Place of Jurisdiction. The place of performance is Vienna. The contract and conditions precedent are governed by Austrian law. The conflict of law rules of international private law and UN CISG do not apply. The competent court for all disputes arising from this contract with enterprises as defined in Art. 1 of the Consumer Protection Act is Vienna 1020. In accordance with Art. 14 of the Consumer Protection Act, the competent court for claims against consumers is that of the consumer’s residence, habitual abode or place of employment.
Governing Law and Place of Jurisdiction. (a) This Agreement shall be governed by and construed in accordance with the substantive laws of Switzerland, with the exclusion of the Vienna Convention on the International Sale of Goods dated April 11, 1980.
(b) The exclusive place of jurisdiction for any dispute, claim or controversy arising under, out of or in connection with or related to the Agreement (or subsequent amendments thereof), including, without limitation, disputes, claims or controversies regarding its existence, va- lidity, interpretation, performance, breach or termination, shall be the city of Zurich, Swit- zerland. Maintenance and Support shall include the provision of:
(a) New Versions, from time to time as Licensor deems reasonable in its own discretion, to provide new or amended functionalities, updates, upgrades and bug fixes for the Software;
(b) User Support including access to:
(i) First-level email Support during normal business hours on working days (Monday to Friday, excluding public holidays) 9 am to 5 pm (CET);
(ii) Second-level email Support with Licensor agreeing to use, depending on the availa- bility of the relevant Software developer(s) or other professional(s), commercially reasonable efforts to reply to request for second-level Support within three business days;
(iii) One of Licensor's online introductory tutorial per year (once for a duration of one hour);
(iv) Additional up to two of Licensor's online tutorials or online consultations (duration of one hour) upon reasonable request of Licensee to learn about the latest features of the Software, to review Licensee's usage of the Software and to propose possible improvements to increase the benefit Licensee is taking out of the Software; and
(v) Licensor's available documentation for users and for IT personnel.
Governing Law and Place of Jurisdiction. This Agreement shall be governed exclusively by the Laws of [the State of Texas], without regard to conflicts of laws principles, and excluding the Convention on the International Sale of Goods. The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the state or federal courts of the State of Texas, and all courts competent to hear appeals therefrom.
Governing Law and Place of Jurisdiction. This Agreement is governed by the laws of the Federal Republic of Germany, under exclusion of the rules governing the collision of laws and under exclusion of the UN conventions on the international sale of goods. Exclusive place of jurisdiction is Meinerzhagen.
Governing Law and Place of Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws in force in the State of New York, U.S., without giving effect to the choice of laws provisions thereof. Any legal action arising under this Agreement shall be instituted in the state or U.S. district Courts for the Southern District of New York and each Party consents to the jurisdiction of such courts for the purposes of any such action.
Governing Law and Place of Jurisdiction. This Agreement shall be governed by the laws of Switzerland, excluding all conflicts of laws principles and excluding the United Nations Convention on Contracts for the International Sale of Goods. The ordinary courts at the headquarters of Leica Geosystems AG in Balgach, Switzerland shall have jurisdiction. Licensor shall, in its sole discretion, also have the right to invoke the courts of law having jurisdiction at the domicile or place of business of Licensee.
Governing Law and Place of Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). To the extent permitted by law, xxx xxxxxx xx Xxxxxxxxx xx Xxxx, Xxxxxxx, shall have exclusive jurisdiction with respect to any disputes, actions and proceedings between the parties in connection with this Agreement.
Governing Law and Place of Jurisdiction. (1) This Agreement shall be governed by, and construed in accordance with, German law.
(2) Any action or other legal proceedings ("Proceedings") arising out of or in connection with this Agreement shall be brought exclusively in the courts in Frankfurt am Main.
Governing Law and Place of Jurisdiction. This Agreement shall be governed exclusively by the Laws of Hong Kong. The exclusive place of jurisdiction for disputes in connection with this Agreement is the competent court for Software Provider's registered office. However, Software Provider has the right to take action in a court that has jurisdiction over Xxxxxxxx's place of business. All parties hereby recognise the jurisdiction of these courts and waive any objections to the place of jurisdiction.
Governing Law and Place of Jurisdiction. 11.1 The validity, interpretation and legal effect of this XXXX shall be governed by, and construed in accordance with, the laws of the Federal Republic of Germany. The courts of Mannheim, Germany shall have sole jurisdiction of any controversies regarding this agreement. Any action or other proceeding which involves such a controversy shall be brought in those courts in Mannheim and not elsewhere.
