Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply. (a) The Borrower shall establish and thereafter maintain the following committees and units with terms of reference, composition and resources acceptable to the Association: (i) not later than January 31, 2000, a National Committee on Effective Schooling (NCES), to provide policy guidance and general oversight of the Project; (ii) a Project Implementation Unit (PIU) to be responsible for the day-to-day management and implementation of the Project; and (iii) in the case of each of the Selected Provinces, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiaries. (b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Project.

In addition, composition and resources acceptable to the AssociationPSC shall be responsible, inter alia, for: (i) not later than January 31, 2000, a National Committee on Effective Schooling (NCES), to provide policy guidance and general oversight appointing the Management Contractor for the carrying out of Part A of the Project; (ii) a assisting the Management Contractor in resolving ambiguities and uncertainties associated with initial start-up of the Grant support scheme; (iii) providing strategic direction of the Project Implementation Unit (PIU) to be responsible and ensuring that the patterns of support for the day-to-day management private sector (by region, size and implementation sector) are consistent with the Project objectives; (iv) authorizing, in consultations with the Association, the reallocation of resources across the various parts of the ProjectProject taking into account the patterns of demand and developmental impact; (v) reviewing and approving all matching grants requests: (vi) costing over $100,000; and (iiivii) from the Recipient firms and the Grantees that have reached a cumulative threshold of $100,000 on prior grant support; (viii) reviewing quarterly reports to ensure that the decisions and processes of the Management Contractor are consistent with the eligibility and monitoring criteria specified in the Project Implementation Plan, and in the event of poor performance on the part of the Management Contractor, in consultation with the Association, taking appropriate remedies; (ix) ensuring proper procurement, disbursement, accounting and financial auditing of the Project; (x) revoking an approval already granted in the event that fraudulent information has been provided within an application; (xi) reviewing appeals for a reversal of the Management Contractor’s decision made by any applicant and bringing these appeals to the attention of the Association for their review; (xii) delegating all approvals for grants below $100,000 to the Management Contractor; (xiii) following operational reviews, at intervals no shorter than six months, preparing proposals justifying changes to the operating directives of the Management Contractor for the Association’s consideration, and upon approval of the Association, sending written recommendations to the Management Contractor as to the ways (if any) in which the case of each of contractor should redirect its efforts; and (xiv) carry out technical audit, every six months for the Selected Provincesfirst eighteen months, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiariesannually thereafter. (b) PIU UASP shall provide adequate financial and administrative support to the agencies involved in the implementation of the Project and shall coordinate, and be responsible for, all procurement carried out under the Project. UASP, shall be responsible, subject headed by a Director and supported by staff needed to any policy guidance and general directives that NCES may issue from time to time, for effectively implement the Project. The Borrower shall carry out all training, workshops and study tours under the Project on the basis of programs which shall have been approved by the Association on a quarterly basis and which shall: , inter alia, identify (a) prepare the training, workshops and transmit to the Association for commentsstudy tours envisaged, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in personnel to be trained, (c) the Project Implementation Plan and Grants Operational Manualinstitution which will conduct the training, and, except as (d) the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion duration of the Associationproposed training, materially or adversely affect the implementation and (e) an estimate of the Projectcost.

The Borrower shall take steps to ensure that: (a) a GTDR shall be established and maintained in each Region, on the basis of a mandate, terms of reference and composition acceptable to the Association, to be responsible for management of the PADR process in the Region; and (iiib) in the case of each of the Selected Provinces, a Provincial Project Implementation Unit (PPIU)) shall be established and maintained in each Province, on the basis of a mandate, terms of reference and composition acceptable to the Association, to be responsible for accounting, financial reporting, procurement and disbursement functions, as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals the management, implementation and approve Grants, as the case may bemonitoring of Subprojects, in favor of Beneficiariesthe Province. The Borrower shall ensure that: (a) PIU shall be headed by a national project directormanager, who shall be assisted by a chief technical advisoran accounts officer, a financial officeradviser, an institutional development adviser, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinatormanager, who shall be assisted by a lead technical assistant, a provincial project accountantadvisers, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountantsmanagers, accounts officer, financial adviser, institutional development adviser and technical advisers, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) , a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, PRA Implementation Guide, and model forms of Subproject Agreements;Agreements and works contracts with local contractors; and (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Project Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Project.

The Borrower shall ensure thatRecipient shall: (a) PIU throughout the period of implementation of the Project, maintain the National Steering Committee of the Five Million Hectares Re-forestation Program and establish and maintain thereunder the Project Steering Committee with membership acceptable to the Association and with such powers, responsibilities, funds and other resources as shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officernecessary to provide general policy guidance in the implementation of the Project, and ensuring coordination of Project activities with other suitably national initiatives on forestry and on biodiversity conservation, and coordination with other relevant national line agencies; and (b) establish and, throughout the period of implementation of the Project, maintain a Central Project Coordination Unit within the Borrower’s Ministry of Agriculture and Rural Development, to be responsible for, inter alia: (i) the overall administration of, and the consolidation of reports on, Project activities, and for all procurement at the national level; (ii) more specifically, coordination between the Departments of Forestry and Forest Protection in the institutional development activities under Part A of the Project; and (iii) liaison with the Borrower’s national Forest Sector Support Program; said Central Project Coordination Unit to be under the direction of qualified managers, provided with sufficient resources, and experienced staff staffed with competent personnel in adequate numbers, including a Project director, a Project chief accountant, and accounting and procurement staff, with qualifications and experience and under terms of reference acceptable to the Bank. 2. For purposes of Part C of the Project, the Recipient shall establish and, throughout the period of implementation of the Project, maintain the Vietnam Conservation Fund to provide financing for priority biodiversity conservation activities pursuant to the provisions of the Operational Manual for the Vietnam Conservation Fund under the Project Implementation Manual. The Recipient shall: (ia) maintain during the execution of the Project, the PCU within MoEW with staff and resources as shall be required to perform its duties in respect of overall management, coordination, and monitoring of the Project in a manner satisfactory to the Bank; (b) designate by not later than January 31September 30, 20002002 and maintain thereafter during the execution of the Project, a National Committee on Effective Schooling (NCES), local staff of the PCU in the Project Area to provide policy guidance carry out the local coordination and general oversight supervision of the Project; (iic) a maintain during the execution of the Project Implementation Unit the Project Steering Committee, comprising of representatives inter alia, from the MoEW (PIU) to be responsible Chair), Ministry of Agriculture and Forestry, Ministry of Justice, Ministry of Health, Ministry of Regional Development and Public Works, Ministry of Economy, Ministry of Labor and Social Policy, municipalities within project sites, non-government organizations, which shall provide oversight and policy guidance for the day-to-day management and overall implementation of the Project, and not amend its composition without the prior agreement of the Bank; and (iiid) ensure that the local Consultative Councils in the case of each of Project Area are established and maintained during the Selected Provinces, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiaries. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the AssociationPIP. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as Recipient shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out ensure that the Project is carried out in accordance with procedures set the PIP, and that all measures necessary for the carrying out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the ProjectEMP and Process Framework are taken in a timely manner.

Throughout the implementation of the Project, the Borrower shall maintain, in a manner and under terms of reference satisfactory to the Association, an ICC, composed by the First Deputy Minister of the MOAWR (as its Chair), the Deputy Minister of Finance, the First Deputy Minister of Environmental Protection, the Advisor to the Department of Agricultural Development of the Office of the Prime Minister, the Deputy Chief of the Donor Cooperation Unit of the Foreign Investment Agency of the State Commission of Foreign Investments and Economic Aid, and the PIU director (as its Secretary). The ICC shall be responsible for reviewing the progress of Project implementation and resolving any general issues related to inter-agency coordination within the framework of the Project. 3. The MOAWR shall be responsible for Project implementation and supervision. The PIU shall be responsible for day-to-day Project administration, management and coordination, including activities related to procurement, accounting, disbursement, auditing, reporting, as well as the identification, preparation, analysis, and selection of proposed Sub-projects, and the monitoring and evaluation of Sub-projects. (a) The Borrower shall establish a management committee, to be chaired by the Minister of Health, and thereafter maintain consisting of the following committees General Secretary, the two General Directors of MSPP, and units with terms of reference, composition and resources acceptable to the Association: (i) not later than January 31, 2000, a National Committee on Effective Schooling (NCES)three Regional Health Directors, to provide policy guidance as needed on the Project, and general to approve annual work programs and budgets, review progress, monitor performance indicators and propose corrective action as necessary. (b) The General Secretary of MSPP shall be responsible for oversight of implementation of the Project and for coordination of its activities. (c) Subject to the overall guidance and oversight of the Project; (ii) a Project Implementation Unit (PIU) to General Secretary of MSPP, PIU shall be responsible for supervision and coordination of the day-to-day management and implementation of the Project; and (iii) in the case of each of the Selected Provinces, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiaries. (b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donorspreparation of annual work plans and budgets, and concerned public institutions, maintenance of a proper financial management and supervision, monitoring and evaluationaccounting system, and facilitation project accounts, management of the Special Account and Project Account, preparation of bidding documents and monitoring of overall procurement process, administration of civil works contracts in collaboration with DGTP, preparation of annual and quarterly progress reports, recruitment of auditors and delivery of timely audit reports, management of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation organization of annual and quarterly implementation reports and work plansmidterm reviews, preparation of project completion report, and design collection of training programs for MoEYS and provincial staff;data on financing of the health sector. (cd) Each PPIU The PIU shall continue to be responsible for the day-to-day implementation headed by an executive director and shall consist, inter alia, of the activities of the Project in the respective Selected Province, including training, coordination an accountant and management of animators, and implementation, monitoring and evaluation of Subprojects; anda procurement specialist. 2. (e) The Borrower shall ensure that: (a) PIU shall be headed by a national project that the high level positions of PIU, including those of the executive director, who shall be assisted by a chief technical advisor, a financial officer, accountant and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraphprocurement specialist, shall be kept filled at all times by persons appropriate officials, having qualifications qualifications, experience and experience terms of reference which shall have been communicated to, and deemed acceptable to by, the Association. 32. The Borrower shall: (a) prepare and transmit submit to the Association an implementation manual for commentsthe Project, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation procurement and procurement disbursement arrangements, as shall have been performance indicators, criteria for the selection of Selected Health Facilities, and other administrative, financial and organizational arrangements agreed upon with the Association for purposes of implementation and monitoring of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, Manual and, except as the Association shall otherwise agree, shall not amend amend, abrogate or waive any provision thereof, if such amendment amendment, abrogation or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Project. (a) The Borrower shall maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with performance indicators referred to in paragraph 2 (a) of this Schedule, the carrying out of the Project and the achievement of the objectives thereof. (b) The Borrower shall, not later than November 30 of each year, beginning November 30, 1998, undertake, in conjunction with the Association, a joint annual review of the Project or, in the case of the review to be undertaken not later than November 30, 2000, a midterm review, during which they shall exchange views generally on all matters relating to the progress of the Project and the performance by the Borrower of its obligations under this Agreement, or arising thereunder, and, in particular: (i) the progress achieved by the Borrower, having regard to indicators referred to in paragraphs 2 (a) and 3 (a) of this Schedule; (ii) a review of progress achieved in the execution of the Program; (iii) a review of the annual and quarterly progress reports for the current fiscal year, and the annual work plans and budget for the forthcoming fiscal year; and (iv) in the case of the midterm review, an assessment of the impact of the Project, based on the results of a beneficiary assessment to be completed prior to the midterm review. (c) Not later than one month prior to each annual review, the Borrower shall furnish to the Association, for its comments, a report, in such detail as the Association shall reasonably request, on the progress and status of the Project, and giving details, in particular, of the various matters to be discussed at such review. (d) Following each review, the Borrower undertakes to act promptly and diligently in order to take any corrective action deemed necessary to remedy any shortcoming noted in the implementation of the Project, or to implement such other measures as may have been agreed upon between the parties in furtherance of the objectives of the Project. (a) The Borrower shall, prior to the beginning of each fiscal year, submit to the Association, for review and approval, a proposed annual work program and budget for such fiscal year, giving details of proposed budgetary allocations and disbursement estimates, proposed procurement activities, and such other particulars as the Association may require. (b) The Borrower shall submit to the Association, for review, (i) not later than two months after the end of each fiscal year or one month after the end of each quarter, as the case may be, annual and quarterly progress reports on the status of the Project and on the status of compliance with covenants under the Project; and (ii) reports as needed on the award of individual contracts under the Project. 5. For the purposes of Parts A and B of the Project, respectively, the Borrower shall take appropriate steps to ensure that civil works shall be undertaken, and insecticides procured and applied, with due regard to the need for protection of the environment and that, for procurement purposes, adequate safeguards shall be built-in to that effect, and reflected in the relevant procurement documents. 1. The Borrower shall: (a) prepare and transmit to the Association for commentscommencing on April 30, 1999, and thereafter adopt annually thereafter, carry out technical audits in form and substance each Fiscal Year, until the completion of the Project in a manner acceptable to the Association: (i) a Bank including an assessment of Project Implementation Planquality assurance, giving details achievement of all implementation Project objectives pursuant to the Performance Indicators, and procurement arrangements, as shall have been agreed with the Association performance under contracts for purposes goods and consultants’ services financed out of the Projectproceeds of the Loan; and (iib) furnish to the Bank for comments, as soon as available, but not later than six months after the end of each such Year, a Grants Operational Manualcopy of such audit. 2. The Borrower shall: (a) maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, giving details in accordance with the Performance Indicators, the carrying out of all procedural arrangements for the review, appraisal, supervision, Project and monitoring and evaluation, the achievement of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreementsobjectives thereof; (b) carry prepare, under terms of reference satisfactory to the Bank, and furnish to the Bank, on or about July 31 of each year until the completion of the Project, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the Project in accordance with procedures set measures recommended to ensure the efficient carrying out in of the Project Implementation Plan and Grants Operational Manualthe achievement of the objectives thereof during the period following such date; (c) review with the Bank, by October 31 of each year, until the completion of the Project, or such later date as the Bank shall request, the report referred to in subparagraph (b) of this paragraph, and, except as carry out an annual project implementation review to, inter alia: (i) evaluate progress achieved by the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver mayBorrower and BEPEKA, in carrying out the opinion Project; (ii) assess progress in the carrying out of the Association, materially or adversely affect training activities referred to under Part B of the Project; (iii) assess the level of counterpart funding provided by the Borrower for the timely implementation of Project activities during the previous Fiscal Year and review the proposed allocations for the upcoming Fiscal Year; (iv) exchange views on progress achieved in the implementation of the AWP during the previous Fiscal Year and proposed activities for the upcoming Fiscal Year; (v) assess progress achieved by the Borrower in implementing the recommendations of the HAPSEM; (vi) assess progress in developing and implementing BEPEKA’s strategy referr ed to under Part A of the Project; (vii) assess and adjust, if necessary, the Performance Indicators; and (viii) identify any current implementation issues and propose solutions to resolve such issues; (d) at the third annual review, carry out a comprehensive mid-term assessment of Project implementation; and (e) thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said reviews and the Bank views on the matter.

The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. (a) For purposes of Part B of the Project, the Borrower shall establish a multi-agency Technical Advisory Group (TAG), to be chaired by MPSLSW, and consisting of representatives of central planning bodies, line Ministries, CSO, research institutions, NGOs, the private sector and donors, to guide the process of development of the Borrower’s proposed Integrated Poverty Monitoring and Analysis System (IPMAS), including procedures facilitation of opportunities for submission regular technical exchanges between institutional partners on poverty information and review use, identification of requests priority policy issues for financingfurther studies and investigation, criteria approval of guidelines for the review financing of studies and approval commissioning of Subprojectspriority studies, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement Annual Work Programs and other implementation guidelines, and model forms of Subproject Agreements;Budgets. (b) carry out The Borrower shall designate the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, Poverty Monitoring Section (PMS) of DLRS to serve as secretariat of TAG and, except as the Association shall otherwise agreesuch, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion to be responsible for coordination of the Associationexecution of Part B of the Project, materially or adversely affect including coordination of procurement and disbursement activities, preparation of annual and quarterly progress reports, audits, and Annual Work Programs and Budgets, preparation of guidelines for the financing of studies and commissioning of priority studies. (a) PMU shall be headed by a Project Manager, who shall be assisted by a Finance and Administration Unit, a Technical Services Support Unit, and a Monitoring Unit. (b) PMS shall be headed by a Poverty Monitoring Manager, who shall be assisted by other higher level and support staff, as appropriate. (c) The Borrower shall ensure that the positions of Project Manager, Poverty Monitoring Manager and other higher level staff involved in the implementation of the Project, shall be kept filled at all times by appropriate officials, having qualifications and experience acceptable to the Borrower and the Association.

The Borrower shall: (a) prepare , to be responsible under terms and transmit conditions acceptable to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of internal audits under the Project.

The Borrower shall ensure thatRecipient shall: (a) PIU throughout the period of implementation of the Project, maintain the National Steering Committee of the Five Million Hectares Re-forestation Program and establish and maintain thereunder the Project Steering Committee with membership acceptable to the Association and with such powers, responsibilities, funds and other resources as shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officernecessary to provide general policy guidance in the implementation of the Project, and ensuring coordination of Project activities with other suitably national initiatives on forestry and on biodiversity conservation, and coordination with other relevant national line agencies; and (b) establish and, throughout the period of implementation of the Project, maintain a Central Project Coordination Unit within the Borrower’s Ministry of Agriculture and Rural Development, to be responsible for, inter alia: (i) the overall administration of, and the consolidation of reports on, Project activities, and for all procurement at the national level; (ii) more specifically, coordination between the Departments of Forestry and Forest Protection in the institutional development activities under Part A of the Project; and (iii) liaison with the Borrower’s national Forest Sector Support Program; said Central Project Coordination Unit to be under the direction of qualified managers, provided with sufficient resources, and experienced staff staffed with competent personnel in adequate numbers, including a Project director, a Project chief accountant, and accounting and procurement staff, with qualifications and experience and under terms of reference acceptable to the Bank. 2. For purposes of Part C of the Project, the Recipient shall establish and, throughout the period of implementation of the Project, maintain the Vietnam Conservation Fund to provide financing for priority biodiversity conservation activities pursuant to the provisions of the Operational Manual for the Vietnam Conservation Fund under the Project Implementation Manual. For this purpose, the Recipient shall establish: (a) a Management Committee with membership and under terms of reference satisfactory to the Bank, to oversee the policy and operations of the Vietnam Conservation Fund, approve sub-grants for eligible Biodiversity Conservation Sub- projects endorsed by the Technical Review Group, and authorize the disbursements of said sub-grants; (b) each PPIU shall be headed by a provincial project coordinatorSecretariat within the Nature Conservation Division of the Forest Protection Department of MARD, who shall be assisted by a lead technical assistantunder the direction of qualified managers, a provincial project accountant, provided with sufficient resources and other suitably qualified and staffed with experienced staff personnel in adequate numbersnumbers including a Project director and a chief accountant; said Secretariat to be responsible for providing support to the Management Committee and for managing the operations of the VCF; all in a manner satisfactory to the Bank; and (c) the positions a Technical Review Group consisting of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to experts in this paragraph, shall be kept filled at all times by persons having conservation-related fields with qualifications and experience acceptable satisfactory to the AssociationBank, drawn from government agencies, research institutions, national and international non-governmental organizations, and a representative of the donors in the partnership supporting the Forest Sector Support Program, to assess biodiversity conservation proposals and make recommendations thereon to the Management Committee. 3. (b) PIU The Borrower shall be responsiblemaintain, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination until the completion of the Project, including liaison the PSMC and its Permanent Secretariat with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable responsibilities satisfactory to the Association. 3. (c) The Borrower shall adequately staff the Permanent Secretariat of the PSMC and its field units. To this end, the Borrower shall: : (ai) prepare inter alios, not later than October 1, 2000, appoint, and transmit thereafter maintain, the heads of the following sections of the Permanent Secretariat of the PSMC: the ERS Section, the Economy and Finance Section, the Administration and Accounting Section and the Engineering and Local Resources Mobilization Section, all with appropriate qualifications and responsibilities; and (ii) furnish to the Association for commentsits approval, the qualifications, experience and terms of reference of the candidates for the positions of technical experts in biophysics, socio-economics, and human health in the field units and promptly upon receipt of the Association’s approval, appoint, and thereafter adopt maintain, said staff in form said positions with appropriate qualifications and substance acceptable responsibilities. 3. Not later than October 31, 2000, and thereafter by April 30 of each year, the Borrower shall, through the PSMC, furnish to the Association: (i) a , for its review and approval, proposed detailed work plans and budgets in respect of Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements activities for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Projectforthcoming fiscal year.

(b) PIU The Steering Committee shall be responsiblechaired by the Minister for MLGRD, subject or his deputy, and shall meet quarterly in the first year of project implementation and bi- annually in subsequent years. (c) Not later than November 30 of each year, the Steering Committee shall review the progress made in respect of Project implementation, institutional issues, procurement, disbursements, the involvement of the private sector, the achievements of the DAs according to any policy guidance the performance criteria referred to in the Project Implementation Manual during the preceding year, and general directives that NCES may issue from time progress towards the objectives for the preceding year. (d) The Borrower shall transmit to timethe Steering Committee, with a copy to the Association, at least 30 days prior to such review, a report, in scope and detail satisfactory to the Steering Committee and to the Association, prepared by MLGRD and each Assembly, describing the status of progress regarding the items listed in paragraph (c) above and of Project implementation generally. 2. Upon completion of the Village Infrastructure Project, the Borrower shall transfer the RICU to MLGRD, and RICU shall become a single implementation unit for rural infrastructure with primary responsibility for coordinating implementation support to the District Assemblies and community groups and associations. RICU shall have broad autonomy in implementing the work program agreed upon with the Steering Committee. RICU shall be headed by a National Coordinator, selected by MOFA, supported by relevant technical staff, including financial management staff, a rural infrastructure engineer and an institutions specialist, all under terms of reference and with qualifications and experience satisfactory to the Association and appointed in accordance with procedures under Section II of Schedule 3 to this Agreement. 3. RICU shall: (ia) day-to-day coordination implement technical and institutional strengthening aspects of the Project, including liaison with interested donors, ensuring that Project actions and concerned public institutions, financial management and supervisioninterventions complement those of other similar projects in the sector; (b) be responsible for timely reporting, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staffimpact assessments; (c) Each PPIU shall be responsible for the day-establish and maintain a management information system to provide up- to-day date information on the status of implementation of the activities of the Project Subprojects in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbersvarious zones; and (cd) the positions of national project director, provincial project coordinators, chief provide policy and technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed liaison with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the ProjectSteering Committee.

Post Review. With respect to each contract not governed by paragraph 2 1 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Consultants Guidelines shall apply. (a) 1. The Borrower shall shall, through MARD, establish and thereafter maintain at all times during the following committees and units with terms of reference, composition and resources acceptable to the Association: (i) not later than January 31, 2000, a National Committee on Effective Schooling (NCES), to provide policy guidance and general oversight of the Project; (ii) a Project Implementation Unit (PIU) to be responsible for the day-to-day management and implementation of the Project: (a) a Project Steering Committee chaired by a Vice-Minister of MARD and with representatives, inter alia, of the Borrower’s Ministry of Planning and Investment, Ministry of Finance, State Bank of Viietnam, General Department of Land Administration, State Committee for Ethnic Minorities and Mountainous Areas and the Vietnam Bank for Agriculture and Rural Development, assigned with such functions and responsibilities, satisfactory to the Association, as shall be required for the overall coordination and oversight of Project implementation; and (iiib) a Project Management Unit, headed by a Manager with qualifications and experience satisfactory to the Association, with such functions, responsibilities and funds, satisfactory to the Association, and with competent staff in the case of each of the Selected Provinces, a Provincial Project Implementation Unit (PPIU)adequate numbers, as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiaries. (b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible required for the day-to-day implementation of the activities of the Project in the respective Selected ProvinceProject, including trainingthe preparation of Project reports, coordination the maintenance of consolidated Project accounts, the implementation of procurement activities under International Competitive Bidding and management of animatorsNational Competitive Bidding procedures, and implementation, monitoring and evaluation the provision of Subprojects; andguidance to the Provincial Project Management Units. 2. The Borrower shall ensure thatthat each Project Provincial People’s Committee shall, for purposes of carrying out its Respective Parts of the Project, establish and thereafter maintain: (a) PIU a Provincial Project Steering Committee chaired by a Vice-Chairman of the Provincial People’s Committee and with representatives, inter alia, of the Provincial Agriculture and Rural Development Department, Provincial Land Administration Department, Forest Protection Branch, Provincial Planning and Investment Department, and Provincial Branch of Vietnam Bank for Agriculture and Rural Development, and assigned with such functions and responsibilities, satisfactory to the Association, as shall be required for the coordination and oversight of the implementation of said Project People’s Committee’s Respective Parts of the Project at the Provincial and Commune levels; and (b) a Provincial Project Management Unit, headed by a national project directorManager with qualifications and experience satisfactory to the Association, who shall be assisted by a chief technical advisorwith such functions, a financial officerresponsibilities, funds and other suitably qualified and experienced competent staff in adequate numbers; , satisfactory to the Association, as shall be required to coordinate the day-to-day Project activities under said Project People’s Committee’s Respective Parts of the Project, including preparation of Project reports, maintenance of Project accounts, implementation of procurement activities other than those referred to in paragraph 1 (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountantof this Schedule, and other suitably qualified monitoring and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Associationevaluation. 3. The Borrower shall: (a) prepare and transmit , through MARD, adopt the Project Implementation Manual, satisfactory to the Association for commentsAssociation, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out implement the Project in accordance with procedures set out in such Manual. The Borrower further undertakes not to amend, abrogate or waive the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend Manual or waive any provision thereof, if such amendment or waiver may, in therein without the opinion prior concurrence of the Association, materially or adversely affect the implementation of the Project.

(b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination and supervision of the Project at the provincial level. 2. Khammouane Province shall take steps to ensure that Nakai District shall maintain, until completion of the Project, including liaison with interested donors: (a) the District Project Steering Committee chaired by the Vice-Governor of Nakai District, and concerned public institutionswhose composition and terms of reference shall be acceptable to the Association, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall to be responsible for the day-to-day implementation overall coordination and general oversight of the activities of the Project at the district level; (b) the Project Office attached to the office of the Vice-Governor of Nakai District, and consisting of suitably qualified and experienced officials in the respective Selected Provinceadequate numbers, including traininga District Project Director, an accountant/book-keeper, a procurement/monitoring officer and a clerk/secretary, to be responsible for day-to-day coordination and management supervision of animators, and implementation, monitoring and evaluation of Subprojects; andthe Project at the district level. 23. The Borrower shall ensure thatKhammouane Province shall: (a) PIU shall be headed by a national project directormaintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, who shall be assisted by a chief technical advisorin accordance with indicators satisfactory to the Association, a financial officer, the carrying out of the Project and other suitably qualified and experienced staff in adequate numbersthe achievement of the objectives thereof; (b) prepare, under terms of reference satisfactory to the Association, and furnish to the Association, not later than May 15 and November 15 of each PPIU shall be headed by a provincial project coordinatoryear, who shall be assisted by a lead technical assistantbeginning on November 15, 1999, a provincial project accountantsemi-annual progress report, integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this paragraph, on the progress achieved in the carrying out of the Project during the six month period preceding the date of said report, and other suitably qualified setting out the measures recommended to ensure the efficient carrying out of the Project and experienced staff in adequate numbersthe achievement of the objectives thereof during the six month period following such date; and (c) review with the positions Association each of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are the reports referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; sub-paragraph (b) carry out of this paragraph and, thereafter, take all measures required to ensure the efficient completion of the Project in accordance with procedures set out in and the Project Implementation Plan and Grants Operational Manual, and, except as achievement of the Association shall otherwise agree, shall not amend or waive any provision objectives thereof, if such amendment or waiver may, in based on the opinion conclusions and recommendations of each of the said reports and the Association, materially or adversely affect ’s views on the implementation of the Projectmatter.
