Powers of the Board The Board shall have the power to do any and all acts necessary, convenient or incidental to or for the furtherance of the purposes described herein, including all powers, statutory or otherwise. Subject to the other provisions of this Agreement, the Board shall have the authority, on behalf of the Company, to do all things necessary or appropriate for the accomplishment of the purposes of the Company. Subject to the other provisions of this Agreement, the Board shall have full power to act for and to bind the Company to the extent provided by Delaware law.
POWERS OF MEMBERS The Members shall have the power to exercise any and all rights or powers granted to the Members pursuant to the express terms of this Agreement. Except as expressly provided herein, the Members shall have no power to bind the Company and no authority to act on behalf of the Company.
POWERS OF MANAGERS Pursuant to Section 00-00-000 of the Act, the Managers are authorized:
Powers of Arbitrator The Arbitrator may determine all questions of law and jurisdiction (including questions as to whether a dispute is arbitrable) and all matters of procedure relating to the arbitration. The Arbitrator shall have the right to grant legal and equitable relief (including injunctive relief) and to award costs (including legal fees and the costs of the arbitration) and interest.
Powers of the Arbitrator It shall be the function of the arbitrator, and he/she shall be empowered, except as his/her powers are limited below, after due investigation, to make a decision in cases of alleged violation of the specific articles and sections of this Agreement.
Disciplinary Meetings In the event a meeting is held for disciplinary purposes, the affected employee shall have the right to have a Union xxxxxxx and/or Union representative present.
Disciplinary Meeting Supervisors shall give employees a forty-eight (48) hour notice, whenever possible, of planned disciplinary meetings. If the Xxxxxxx and the employee agree, the disciplin- ary meeting can be held less than forty-eight (48) hours after notification, but the Xxxxxxx or employee cannot refuse to hold an immediate meeting if circumstances require it. Supervisors shall give employees the opportunity to have a Union Xxxxxxx present for an oral warning, a written warning, a notice of suspension, or a notice of discharge. Employees will be given an opportunity to hear the evidence and respond to the evidence supporting suspension or discharge while still in pay status. Non- supervisory co-workers, other than a Union Xxxxxxx of the employee's choice, shall not be present in another employee's disciplinary meeting. In cases of immediate suspension or discharge, the supervisor will meet with the Xxxxxxx and employee prior to the employee being required to leave the facility. However, neither the refusal of the Union Xxxxxxx to participate nor their unavailability shall abridge the Employer's right to take disciplinary action.
Procedures of the Joint Committee 1. For the proper implementation of this Agreement, the Joint Committee shall meet at an appropriate level whenever necessary upon request but at least once a year. Either Party may request a meeting be held.
Composition of the Board of Arbitration When a party has requested that a grievance be submitted to arbitration, it shall indicate to the other party to the Agreement within seven days:
Senior Management and Board of Directors 1. A Member State shall not require that a juridical person of that Member State appoint to senior management positions, natural persons of any particular nationality.
